Confidentiality obligations will survive termination for a period of three (3) years except for trade secrets, which shall remain protected as required by law.

Limitation of Liability & Governing Law

Except for liability resulting from gross negligence or willful misconduct, each party's aggregate liability to the other for any claim arising out of or relating to this Proposal shall not exceed the total fees paid under the applicable statement of work. This Proposal and any resulting agreement shall be governed by the laws of the jurisdiction indicated below without regard to conflict of law principles.
