All changes to scope, schedule, or price must be documented via a written Change Order signed by authorized representatives of both parties prior to the commencement of changed work. Emergency work that materially affects cost or schedule requires immediate written confirmation and subsequent formal Change Order.

Confidentiality

Each party acknowledges that confidential or proprietary information may be disclosed in connection with this Work Order. The Receiving Party shall hold Confidential Information in strict confidence, use it solely for the performance of this Work Order, and not disclose it to third parties except as expressly permitted in writing. Confidentiality obligations survive termination of this Work Order for the duration specified below.

Liability, Indemnity & Termination

Each party's liability shall be limited to direct damages arising from its breach; neither party shall be liable for consequential, incidental, or punitive damages. The Service Provider shall indemnify, defend and hold harmless the Client from claims arising from Provider's negligence, willful misconduct, or breach of law in performance of this Work Order, subject to any limitations in the governing agreement.

Either party may terminate this Work Order for material breach if the breach remains uncured thirty (30) days after written notice, unless a different cure period is specified below.

Upon delivery of each deliverable, the Client shall have a defined acceptance period to review and either accept or reject the deliverable in writing specifying deficiencies. If rejected, the Provider shall remedy within a reasonable timeframe and resubmit for acceptance.
