The Service Provider shall prepare, coordinate and deliver working drawings sufficient for permitting, fabrication and construction as described below. Deliverables shall be consistent with contract documents and industry standards.

Fees for preparation of working drawings and associated coordination are set forth below. All monetary amounts are in the currency of the contract and exclusive of applicable taxes.

All changes that affect scope, schedule or fee require written change order signed by authorized representatives of both parties.

Responsibilities & Coordination

The Service Provider is responsible for coordination with consultants and trade contractors, incorporation of issued-for-construction comments, and resolution of technical conflicts prior to submission for fabrication. The Client shall provide timely information, decisions, and access required for performance.

Acceptance, Liability & Indemnity

Acceptance of deliverables shall occur by written notice within the acceptance period specified in the acceptance criteria for each deliverable. Failure to notify of nonconformance within that period shall constitute acceptance. The Service Provider warrants that working drawings will be prepared with professional skill and care consistent with prevailing industry standards. To the extent permitted by law, the Service Provider's liability for direct damages arising from negligent performance shall be limited to the total fees paid for the associated drawing package. Neither party shall be liable for consequential or punitive damages. Each party shall indemnify the other for third-party claims arising from its own negligence or willful misconduct.

Confidentiality

Each party acknowledges that design documents, drawings, calculations and related information are confidential. Neither party shall disclose confidential information to third parties except as required for performance of this Agreement or as required by law. Confidential information remains the property of the disclosing party.

Intellectual Property

Copyright in the working drawings and related materials prepared by the Service Provider shall remain with the Service Provider. The Client is granted a non-exclusive, non-transferable license to use the drawings for the Project as constructed. Any reuse for other projects or changes not executed under the Service Provider's direction shall be at the Client's sole risk and without liability to the Service Provider.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state or jurisdiction identified below. Parties shall attempt to resolve disputes in good faith and may pursue mediation prior to initiating litigation unless urgent injunctive relief is required.

Acceptance Procedure

The Client shall review each deliverable and provide either: (a) written acceptance; or (b) a written list of deficiencies and reasonable time to correct. Corrected deliverables shall be resubmitted and subject to the same acceptance procedure.

Record of Revisions

The Service Provider shall maintain a record of revisions for all issued sets of working drawings and shall provide revision logs with each submission.
