Budget and Payment

Expense Reimbursement: The Client will reimburse reasonable, pre‑approved travel and out‑of‑pocket expenses incurred by the Service Provider in connection with the Workshop upon submission of receipts, subject to the Client's expense policy.

Change Order Procedure

Any changes to scope, schedule, or fees will be effected only by a written Change Order signed by authorized representatives of both parties. Change Orders shall state the reason for the change, the impact on deliverables and timeline, and any adjustment to fees.

Confidentiality

Each party shall treat as Confidential Information all non‑public information disclosed by the other party in connection with the Workshop. Confidential Information does not include information which is (a) known prior to disclosure; (b) publicly known through no fault of the receiving party; (c) rightfully received from a third party without restriction; or (d) independently developed without use of Confidential Information. The receiving party shall use Confidential Information only to perform obligations under this Agreement and shall restrict disclosure to employees and contractors on a need‑to‑know basis who are bound by written confidentiality obligations no less protective than those herein.

Intellectual Property and Deliverables

Subject to full payment of fees due hereunder, the Service Provider grants the Client a non‑exclusive, perpetual license to use the final deliverables for the Client's internal business purposes. The Service Provider retains ownership of underlying methodologies, templates, and pre‑existing materials. Any custom materials produced solely for the Client and identified in a Change Order shall be assigned to the Client upon full payment.

Liability and Insurance

Each party's aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid to the Service Provider under this Agreement. Neither party shall be liable for consequential, incidental, or punitive damages. The Service Provider shall maintain commercial general liability and professional liability insurance adequate to perform the services contemplated.

Termination

Either party may terminate this Agreement for material breach that remains uncured for thirty (30) days following written notice. The Client may terminate for convenience upon thirty (30) days' prior written notice and shall pay for services performed and non‑cancellable commitments incurred through the termination date.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below, without regard to conflict of laws principles.

Miscellaneous

Entire Agreement: This Agreement, including any executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements. Amendments must be in writing and signed by authorized representatives. If any provision is held unenforceable, the remaining provisions remain in effect.
