ENTIRE AGREEMENT

This Certification, together with the Agreement and any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. No amendment shall be effective unless executed in writing by duly authorized representatives of both parties.
