PROJECT PLAN MANAGEMENT TEMPLATE

This Project Plan Management Agreement (the "Agreement") is entered into as of between Client Name: (the "Client") and Service Provider Name: (the "Provider"). The Client and the Provider are each a "Party" and together the "Parties."

WHEREAS

WHEREAS, the Client requires project planning, oversight and management services for the project described below (the "Project"); and

WHEREAS, the Provider has the expertise, personnel and resources necessary to provide project plan management, coordination of deliverables, milestone tracking and change management; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows.

PROJECT OVERVIEW

SCOPE OF WORK

The Provider shall perform project plan management services in accordance with the scope described below. The Provider shall use commercially reasonable efforts to deliver the Work in a professional manner consistent with industry standards.

MILESTONES & DELIVERABLES

List primary deliverables and milestone dates. Each deliverable shall include acceptance criteria and an assigned owner.

CHANGE CONTROL

All changes to scope, schedule, deliverables or price shall be submitted as a written Change Request. No change will be effective unless approved in writing by authorized representatives of both Parties.

Provider may engage subcontractors subject to Provider remaining responsible for performance and compliance with this Agreement.

PAYMENT TERMS

Compensation for project plan management services shall be paid in accordance with the following terms.

TERM & TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Section, continues until the End Date.

Either Party may terminate this Agreement for material breach by the other Party if the breach remains uncured after the notice period specified above. Termination shall not relieve the Client of the obligation to pay for services rendered and expenses incurred through the effective date of termination, subject to any offsets expressly agreed in writing.

CONFIDENTIALITY

Each Party acknowledges that in connection with this Agreement it may receive or have access to confidential information of the other Party ("Confidential Information"). Confidential Information shall include non-public business information, technical data, trade secrets, pricing, project schedules and other information reasonably understood to be confidential.

Each Party shall (i) use Confidential Information only to perform obligations under this Agreement; (ii) restrict disclosure to employees, agents and subcontractors with a need to know and who are bound to confidentiality obligations no less restrictive than those herein; and (iii) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is publicly available through no fault of the receiving Party or required to be disclosed by law with prior written notice to the disclosing Party.

ACCEPTANCE & QUALITY

LIABILITY & INDEMNIFICATION

Each Party agrees to indemnify, defend and hold harmless the other Party from third-party claims arising from its willful misconduct, gross negligence or material breach of this Agreement. Except for liability arising from willful misconduct or gross negligence, neither Party's aggregate liability for any claim under this Agreement shall exceed the total amounts paid or payable to the Provider under this Agreement during the preceding twelve (12) months.

COMMUNICATIONS & REPORTING

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The Parties agree that any dispute arising under this Agreement will be resolved in courts located in that state.

ENTIRE AGREEMENT

This Agreement, including all attachments and accepted Change Requests, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and do not affect interpretation.
