Project Planning Agreement

This Project Planning Agreement (the Agreement) is entered into as of Effective Date: between the following parties:

Recitals

WHEREAS, Client requires professional planning services in connection with the project described below (the Project); and

WHEREAS, Planner represents that it has the experience, qualifications and ability to perform project planning, feasibility analysis, scheduling and related advisory services; and

NOW, THEREFORE, in consideration of the mutual promises set forth herein, Client and Planner agree as follows.

Planner shall provide project planning services generally including project definition, stakeholder coordination, schedule development, risk identification, budgetary planning and delivery of a written Project Plan. Specific deliverables and milestones are set forth below and may be further detailed in appendices or statements of work executed under this Agreement.

Payment Terms

As consideration for the services described herein, Client shall pay Planner in accordance with the following terms.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured thirty (30) days after written notice of such breach. Termination shall not relieve Client of the obligation to pay for services rendered and documented expenses incurred prior to termination.

Confidentiality

During the term of this Agreement and for a period of three (3) years thereafter, each party shall hold in confidence and not disclose to any third party any confidential or proprietary information disclosed by the other party, except as required by law. Confidential information does not include information that is or becomes generally available to the public other than through breach of this Agreement, independently developed by the receiving party, or lawfully obtained from a third party without restriction.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall lie in the state or federal courts located in that state.

Representations; Indemnification; Insurance

Each party represents that it has the full right, power, and authority to enter into this Agreement. Planner shall perform services in a professional and workmanlike manner consistent with industry standards. Planner shall indemnify and hold harmless Client from claims arising from Planner's negligent performance of services or willful misconduct. Planner shall maintain appropriate professional liability and general liability insurance coverage during the term of this Agreement and upon request shall provide certificates of insurance.

Entire Agreement and Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
