RECITALS

WHEREAS, Client has determined that planning and documenting the scope, schedule, resources, and risks for the Project is necessary to achieve the Project objectives in a timely and cost-effective manner; and

WHEREAS, Contractor has experience and expertise in project planning and has agreed to prepare and coordinate the Project Planning Checklist and related deliverables under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

PAYMENT TERMS

All invoices are due in accordance with the Payment Schedule. Amounts not paid within the agreed period shall accrue the Late Payment Fee on the unpaid balance. The Client is responsible for any third-party collection costs if applicable.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or until the planning deliverables are accepted by Client, whichever occurs first, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period specified above. Termination does not relieve the Client of payment obligations for services performed through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use such information except to perform under this Agreement. Confidential Information excludes information that is or becomes publicly available through no fault of the receiving party, is independently developed, or is lawfully obtained from a third party. The obligations of confidentiality survive termination for a period of three (3) years.

  Both parties acknowledge and agree to the Confidentiality provisions above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any written attachments executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
