PROJECT PLANNING PACKAGE

RECITALS

This Project Planning Package (the "Agreement") is made and entered into as of (the "Effective Date"), by and between Client Name: and Contractor Name: .

WHEREAS, Client desires that Contractor provide professional project planning, scoping, and deliverable definition services and has engaged Contractor for such services; and

WHEREAS, Contractor represents that it has the expertise, personnel, and resources necessary to perform the planning services described herein and agrees to perform such services under the terms and conditions set forth in this Agreement.

PROJECT SUMMARY

SCOPE OF WORK

Contractor shall perform the following planning services necessary to define project requirements, deliverables, schedule, and resource estimates. The scope shall include stakeholder interviews, requirements analysis, risk assessment, milestone definition, and a final planning deliverable as described below.

PAYMENT TERMS

In consideration for the Services, Client shall pay Contractor the fees and reimburse expenses in accordance with the following terms.

All fees exclude applicable taxes. Unless otherwise agreed in writing, Client shall pay all undisputed invoices within the Invoice Terms specified above. Disputed items shall not excuse payment of undisputed portions.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period specified below after receipt of written notice specifying the breach.

Upon termination, Client shall pay Contractor for all Services performed and expenses incurred through the effective date of termination. Sections that by their nature survive termination shall survive.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information that is marked or identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees: (a) to use Confidential Information solely to perform its obligations under this Agreement; (b) to protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than a reasonable degree of care; and (c) not to disclose Confidential Information to any third party except to its employees, contractors, or advisors who need access to perform the Agreement and who are bound by confidentiality obligations at least as protective as those herein.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Contractor retains ownership of pre-existing methodologies, tools, templates, and intellectual property used or developed outside the scope of this Agreement. Client is granted a non-exclusive, non-transferable license to use deliverables for the purposes set forth in this Agreement upon full payment of fees.

WARRANTIES AND LIMITATION OF LIABILITY

Contractor warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, CONTRACTOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. THE PARTIES' AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO CONTRACTOR UNDER THIS AGREEMENT.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating any litigation.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment must be in writing signed by both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing. Notices are effective upon receipt.
