PROJECT PLANT APPROVAL FORM

This Project Plant Approval Form (the Approval) is entered into between: Client Name: and Supplier/Contractor Name: .

WHEREAS

WHEREAS, the Client is undertaking a development project identified as Project Title: (the Project), and requires procurement, installation, testing and commissioning of plant equipment described below; and

WHEREAS, the Contractor has represented that it is qualified to supply and install the plant in accordance with the specifications, drawings and statutory requirements; and

WHEREAS, the parties wish to document approval conditions, acceptance criteria, payment terms, and continuing obligations associated with the plant supply and commissioning.

SCOPE OF WORK

The Contractor shall supply, deliver, install, test, commission and handover the plant described above. Detailed scope (including but not limited to supply items, installation interfaces, civil works required, mechanical and electrical connections, control system integration, testing and performance demonstration) is to be set out below:

INSPECTION, TESTING AND ACCEPTANCE

Contractor shall perform factory acceptance testing and on-site commissioning tests in accordance with the agreed test plans. Acceptance criteria: performance consistent with the published specifications and agreed guarantees. Inspection and acceptance will be conducted by Client-appointed representative.

PAYMENT TERMS

Fees and payment schedule are as follows. All payments are due within the stated payment period and subject to approval of deliverables where noted.

Any amount not paid when due shall incur late fees equal to % per month on the overdue balance, compounded monthly, until paid in full. In addition, the non-defaulting party may suspend performance after providing written notice and a minimum cure period of days.

TERM AND TERMINATION

This Approval commences on Start Date: and shall continue until Completion Date: unless earlier terminated in accordance with this section.

Either party may terminate this Approval for material breach if the breach is not cured within the notice period of following written notice. Termination for convenience by the Client requires advance written notice of days and equitable settlement for work performed to date.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose Confidential Information received from the other party, except as required by law or as necessary to perform obligations under this Approval. Confidential Information includes technical data, drawings, commercial terms and test results. Confidential obligations survive termination for a period of three (3) years, or longer if required by law for specific records.

WARRANTY & LIABILITY (SUMMARY)

Contractor warrants that supplied plant will be free from defects in material and workmanship for a period of from date of commissioning. Contractor's aggregate liability for direct damages shall be limited to the greater of the contract value or replacement cost of the defective plant, except in cases of willful misconduct or gross negligence.

GOVERNING LAW

This Approval shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties submit to the exclusive jurisdiction of that jurisdiction's courts for disputes arising out of this Approval.

ENTIRE AGREEMENT

This Approval, together with referenced drawings, schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written negotiations, proposals and representations. Amendments must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS APPROVALS

Contractor hereby confirms that the plant, installation and commissioning will comply with applicable safety regulations, environmental permits and statutory requirements. Contractor must provide copies of required licenses and permits prior to commissioning.
