The Requesting Party agrees to indemnify and hold harmless the Approving Authority from liabilities arising from inaccurate representations or failure to obtain required approvals, except to the extent caused by the Approving Authority's gross negligence or willful misconduct.

This Form and any approvals granted hereunder shall be governed by and construed in accordance with the laws of the applicable jurisdiction of the Approving Authority, without regard to conflicts of law principles.

Entire Agreement
