Invoices are due within days of invoice date. Payments not received by the due date shall incur a late charge of % per month on the outstanding balance, compounded monthly until paid in full. Client is responsible for any collection costs, including reasonable attorney fees.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within after delivery of written notice specifying the breach. Upon termination, Contractor shall be entitled to payment for all work performed and reimbursable expenses incurred through the effective date of termination.

Confidentiality

Each party agrees to hold in strict confidence and not disclose to any third party any Confidential Information received from the other party, except to the extent necessary to perform its obligations under this Agreement or as required by law. Confidential Information includes non-public business information, technical data, and trade secrets. Confidentiality obligations shall continue for a period of following termination or expiration of this Agreement.

Contractor represents that services will be performed in a professional and workmanlike manner. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS AGREEMENT, CONTRACTOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES; EACH PARTY'S AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID UNDER THIS AGREEMENT FOR THE APPLICABLE SCOPE OF WORK.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising out of this Agreement.

Entire Agreement
