Confidentiality

The receiving party shall (i) use the Confidential Information only to evaluate and execute the resource allocation; (ii) restrict disclosure to employees or contractors with a need to know who are bound by confidentiality obligations at least as protective as these; and (iii) implement reasonable safeguards to prevent unauthorized disclosure. Confidential Information does not include information that is or becomes generally known to the public other than through a breach of this obligation.

Governing Law

This Project Resource Request Report and any allocations effected hereunder shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties. Parties agree that disputes arising out of this request process shall be resolved through the dispute resolution procedures set forth in any controlling master services agreement; if none exists, the parties shall seek to resolve disputes through good faith negotiation.

Entire Agreement

This report, together with any referenced appendices, attachments, purchase orders, and governing master agreement between the parties, constitutes the entire understanding with respect to the specific requests described herein and supersedes prior oral or written communications relating to those requests. Any modification must be made in writing and signed by authorized representatives of both parties.
