PROJECT ROLLOUT SCOPE

Recitals

WHEREAS, Client engages Service Provider for the purpose of planning, coordinating, and executing the rollout of the project known as Project Name: at Location: ; and

WHEREAS, Service Provider represents that it possesses the personnel, expertise, and resources necessary to perform the activities described herein in a professional and timely manner; and

WHEREAS, the parties desire to set forth the scope, deliverables, payment terms, schedule, and other material terms governing the rollout.

Scope of Work

Service Provider shall perform the following services and deliverables in accordance with the standards of the profession and this Scope. Deliverables will be provided in writing unless otherwise stated.

Payment Terms

Invoicing and Payment: Service Provider will submit invoices to Client upon achievement of invoicing milestones described above. Invoices are due and payable within days of Client's receipt. Disputed amounts must be raised in writing within ten (10) days of receipt of invoice and the undisputed portion shall remain payable when due.

Late Payment: Past-due amounts shall accrue interest at a rate of (or the maximum permitted by applicable law, if lower). Additionally, a late payment administrative fee of $ may be assessed.

Term and Termination

Term: This Scope commences on Start Date: and shall continue until End Date: unless earlier terminated under this Section.

Termination: Either party may terminate this Scope for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach which remains uncured thirty (30) days after written notice of such breach.

Confidentiality

Each party acknowledges that it may receive Confidential Information (as defined below) of the other party. "Confidential Information" means non-public commercial, financial, technical and other information disclosed in any form. Each receiving party shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information; (b) use Confidential Information solely to perform its obligations under this Scope; and (c) not disclose Confidential Information to any third party except to its employees, agents, or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is or becomes publicly available through no breach, independently developed without reference to the other party's Confidential Information, or rightfully received from a third party without restriction.

Governing Law; Dispute Resolution

This Scope shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties agree to negotiate in good faith to resolve disputes, and either party may pursue injunctive or other equitable relief where appropriate.

Entire Agreement

This Scope and any documents expressly incorporated herein constitute the entire agreement between the parties with respect to the subject matter and supersede all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No modification shall be effective unless made in writing and signed by authorized representatives of both parties.
