PROJECT SIGNED DRAWING

This Project Signed Drawing Agreement (the Agreement) is made as of by and between Client Name: and Contractor Name: (collectively, the Parties).

Recitals

Scope of Work

Payment Terms

All payments are due in accordance with the schedule above. Unless otherwise agreed in writing, failure to pay undisputed amounts within five (5) days of a scheduled due date shall constitute a material breach and entitle the non-defaulting Party to suspend performance and to recover interest, collection costs, and attorneys' fees as permitted by law.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for cause if the other Party materially breaches any obligation hereunder and fails to cure such breach within the notice period specified above. Termination for convenience by either Party requires the notice period stated above and payment for all work performed and costs reasonably incurred through the effective date of termination.

Confidentiality

Each Party agrees that all drawings, technical data, proprietary processes, and business information provided in connection with this Agreement are Confidential Information. Confidential Information shall not be disclosed to third parties except as required by law or as necessary to perform the Scope of Work. Confidential Information shall be used solely for performance under this Agreement. The obligations in this section shall survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with the referenced signed drawings and any written amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. No modification of this Agreement will be effective unless in writing and signed by authorized representatives of both Parties.

Acknowledgement and Certification

By signing below, each Party certifies that the persons executing this Agreement are duly authorized to bind the Party, that the listed drawing(s) have been reviewed and approved, and that the Parties will perform in accordance with the approved drawing(s) and the terms of this Agreement.
