Term and Termination

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party disclosed in connection with the Project. "Confidential Information" includes technical, financial and business information, deliverables, and any other material clearly designated as confidential or which reasonably should be understood to be confidential. The receiving party shall take reasonable measures to protect Confidential Information and shall only use it for performance under this Project. These obligations survive termination of this Signoff for a period of three (3) years.

Governing Law

This Signoff shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue and jurisdiction for disputes shall lie in the courts located in the county of .

Entire Agreement

This Project Signoff Sheet, together with any attachments and the underlying agreement between the parties, constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, representations, and understandings.
