What a Project Solutions Agreement Covers

A Project Solutions Agreement is a bilateral contract that defines the services, deliverables, timeline, payment terms, acceptance criteria, intellectual property rights, warranties, liability allocation, change-order procedures, and termination conditions for a discrete project. It typically includes exhibits such as project schedules, technical specifications, and pricing appendices. Well-drafted agreements reduce ambiguity between parties, provide a basis for remedies if terms are breached, and can incorporate electronic signature and record-retention provisions to support enforceability under federal and state e-signature laws.

Why a Clear Project Solutions Agreement Matters

A precise agreement aligns expectations, limits scope creep, defines payment milestones, and assigns risk, reducing disputes and enabling reliable project delivery. It also documents authorization, supports audits, and — when executed electronically with proper controls — meets U.S. e-signature standards under ESIGN and applicable state law.

Why a Clear Project Solutions Agreement Matters

Who Typically Prepares and Signs This Agreement

Project managers, procurement officers, outside counsel, and vendor account leads commonly prepare and review these agreements before execution.

  • Project managers and PMOs responsible for deliverables, timelines, and acceptance criteria.
  • Procurement and purchasing teams that approve payment terms and vendor onboarding.
  • Legal counsel or contract managers who negotiate risk allocation and IP clauses.

Final signatures are usually provided by authorized business officers or delegated signatories with written signing authority recorded in corporate governance documents.

Core Sections to Include for a Professional Agreement

Include these essential sections to make the agreement operable, measurable, and enforceable across the project lifecycle.

Scope & Deliverables

Describe work in measurable terms, list deliverables, attach schedules and acceptance tests to avoid disputes over incomplete or out-of-scope items.

Payment Terms

Specify fees, invoicing cadence, retainers, milestones, and remedies for late payment, including whether payment is net 30, net 45, or milestone-based.

Change Orders

Define the process for scope changes, estimated cost adjustments, approval authorities, and time extensions to prevent informal scope creep.

Acceptance Criteria

Set objective tests, review windows, and remediation steps for rejected deliverables so acceptance and final payment are clearly tied to measurable outcomes.

IP & Licensing

Allocate ownership or license rights for deliverables, specify work-for-hire or assignment language, and address third-party component obligations.

Liability & Indemnity

Cap damages where appropriate, state exceptions such as willful misconduct, and include indemnities for third-party claims to clarify financial exposure.
