All payments are due within the payment terms specified for each milestone. Client may withhold payment only for demonstrable failures to meet the stated Acceptance Criteria, provided written notice specifying deficiencies is delivered to the Contractor in accordance with the notice provisions below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause may be immediate where a party materially breaches an obligation and fails to cure such breach within 15 days after receipt of written notice describing the breach.

CHANGE CONTROL

All changes to the Scope of Work or Deliverables must be made by written Change Order signed by authorized representatives of both parties. Change Orders shall set out the change, impact on cost, and revised schedule. The signatories confirm acceptance of the Change Control procedure by checking the box below.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence all Confidential Information received from the other party (the "Disclosing Party") and shall not use such Confidential Information except as necessary to perform obligations under this Agreement. "Confidential Information" includes non-public technical, commercial and business information, but does not include information that (a) is or becomes public other than through a breach by the Receiving Party; (b) was rightfully known by the Receiving Party prior to disclosure; (c) is rightfully received from a third party without a duty of confidentiality; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. The obligations set forth in this clause shall survive termination for a period of years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Project Specification Approval Form, together with any attached Specifications and executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.
