Confidentiality

Each party acknowledges that, in the performance of this Task, it may receive Confidential Information of the other party. Confidential Information shall mean non-public information disclosed in writing or marked as confidential or that reasonably should be understood to be confidential. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to third parties except to those employees, agents, or subcontractors with a need to know and who are bound by confidentiality obligations; and (c) not use it except to perform obligations under this form. These obligations survive termination for a period of three years.

If any Confidential Information is required to be disclosed by law, the receiving party shall (where permitted) provide prompt written notice and cooperate to limit disclosure.
