PROJECT TRANSFER AGREEMENT

This Project Transfer Agreement (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Transferor has developed, managed, and advanced the project described in this Agreement, including all work-in-progress, deliverables, documentation, data, and related intellectual property (collectively, the "Project"); and

WHEREAS, Transferee desires to acquire the Project and assumes responsibility for its continued development, performance of remaining obligations, and all associated rights and liabilities as expressly set forth herein; and

WHEREAS, Transferor and Transferee desire to set forth the terms and conditions of the transfer and allocation of rights, obligations, consideration, and confidentiality concerning the Project.

SCOPE OF WORK

TRANSFER OF RIGHTS AND ASSETS

Transferor hereby assigns, conveys and transfers to Transferee, and Transferee accepts, all right, title and interest in and to the Project and all tangible and intangible assets reasonably necessary for the Project's continued development and operation, including but not limited to: work product, source code, designs, documentation, data files, customer deliverables, vendor contracts (to the extent assignable), and any transferable intellectual property rights, subject to the terms and exceptions set forth in this Agreement.

ASSUMPTION OF OBLIGATIONS

Effective upon the transfer, Transferee will assume and perform all obligations and liabilities arising from or relating to the Project that arise on or after the effective date, including obligations to clients, vendors, and third parties to the extent such obligations are transferable. Transferee shall not be relieved of obligations under any nonassignable contract unless otherwise agreed in writing by the affected third party.

PAYMENT TERMS

As consideration for the transfer described herein, Transferee shall pay Transferor the total sum of (the "Consideration") in accordance with the payment schedule below.

Any late payment shall bear interest at the rate of percent per month (or the maximum rate permitted by applicable law, whichever is lower), computed daily and compounded monthly, plus any collection costs and reasonable attorneys' fees incurred by Transferor.

TERM AND TERMINATION

The term of this Agreement shall commence on the effective date and continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations and confidentiality obligations which shall survive.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose to third parties, nor use except in performance of this Agreement, any confidential or proprietary information of the other party relating to the Project, business operations, technical data, trade secrets, or customer information ("Confidential Information"). Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement or is rightfully received from a third party without restriction. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, or longer if required to protect trade secrets under applicable law.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Transferor represents and warrants that it has the full right and authority to transfer the Project and the assets set forth herein and, to Transferor's knowledge, the Project does not infringe third party intellectual property rights except as disclosed in writing to Transferee. Transferor further warrants that, except as disclosed, there are no outstanding material breaches or unresolved claims that would prevent performance of the transfer contemplated by this Agreement.

Transferee represents that it has the capacity and financial ability to assume the obligations described in this Agreement. Each party shall indemnify, defend and hold harmless the other party from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from its breach of this Agreement or from its negligence or willful misconduct in the performance of its obligations.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, oral or written. Any amendment or modification must be in writing and signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as a party may specify in writing.
