Payment Terms

As consideration for the validation services, Client agrees to pay Contractor the amounts and according to the schedule set forth below. Payment obligations survive termination to the extent services have been performed prior to termination.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed in connection with validation activities and shall not disclose such information except to employees, agents, or subcontractors who have a need to know and who are bound by equivalent confidentiality obligations. The obligations of confidentiality survive termination for a period of three (3) years unless otherwise required by law.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. This document, together with any referenced attachments or schedules, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements.
