Term and Termination

This Assignment commences on and shall continue until unless earlier terminated in accordance with this section.

Termination for cause may be effected by either party upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within the applicable notice period set forth above. Upon termination, Contractor shall be entitled to payment for services properly performed and expenses incurred through the effective date of termination subject to Client's right to set-off for defective or incomplete work.

Confidentiality

Contractor shall maintain in confidence all non-public information disclosed by Client and shall not use such information except as necessary to perform the Assignment. Confidential information does not include information that is or becomes generally available to the public other than through a breach of this obligation. Contractor's confidentiality obligations shall survive termination of this Assignment for a period of .

Intellectual Property and Deliverables

Unless otherwise agreed in writing, all work product, deliverables and materials created by Contractor specifically for Client under this Assignment shall be deemed work made for hire and title shall vest in Client upon payment in full. Contractor hereby assigns and agrees to assign any and all right, title and interest in such deliverables to Client, and shall execute documents necessary to effectuate such assignment.

Governing Law

This Assignment shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Assignment, together with any attachments and referenced exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
