What a Promotional Services Agreement Covers

A Promotional Services Agreement is a contract between a client and a promoter, influencer, or marketing agency that sets out the scope, deliverables, timing, compensation, intellectual property rights, and performance metrics for a promotional campaign. It defines obligations such as content approvals, disclosure requirements, payment terms including fees and reimbursable expenses, confidentiality provisions, indemnities, and termination conditions. The agreement can also include reporting requirements, rights to use creative assets, noncompete or exclusivity provisions for the engagement period, and dispute resolution terms tailored to the parties' commercial relationship.

Why a Written Promotional Services Agreement Matters

Having a written agreement reduces ambiguity about deliverables, protects IP and brand use, clarifies compensation and reimbursement, and creates an enforceable record for disputes. It also helps meet regulatory disclosure rules for endorsements and maintains audit-ready documentation for payments and taxes.

Why a Written Promotional Services Agreement Matters

Typical Parties and Stakeholders

Promotional Services Agreements are used by companies, marketing agencies, promoters, and individual creators to formalize campaign terms and responsibilities.

  • Brands and advertisers who commission campaigns and need control over deliverables, usage rights, and disclosure compliance.
  • Agencies and promoters who coordinate talent, media buys, and creative assets and require clear payment and liability terms.
  • Individual influencers or content creators who must document scope, compensation, ownership of content, and exclusivity limits.

Use the agreement to ensure each stakeholder understands approvals, reporting cadence, and financial obligations before work begins.
