PROPERTY INSPECTION AGREEMENT

RECITALS

WHEREAS, Client desires a professional visual inspection of the property identified above for the limited purpose of evaluating the observable condition of accessible systems and components as of the inspection date; and

WHEREAS, Inspector represents that Inspector is qualified and duly licensed (if required by jurisdiction) to perform property inspections and will perform such inspection in accordance with the scope set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the inspection engagement.

SCOPE OF WORK

Inspector shall perform a visual inspection of readily accessible components and systems of the property, including but not limited to structural elements, roofing components, exterior, interior, plumbing, electrical, heating and cooling systems, and visible insulation and ventilation. The inspection is limited to the condition of the property at the time of inspection and does not include concealed, latent, or future conditions.

INSPECTION STANDARDS AND LIMITATIONS

Inspector will perform the inspection using ordinary professional care consistent with industry standards. The inspection is a non-invasive, visual evaluation. Inspector does not perform destructive testing, environmental testing (including testing for mold, asbestos, lead, radon, or soil contamination), or design verification. Client acknowledges these limitations and accepts that certain conditions may not be discoverable by a visual inspection.

PAYMENT TERMS

Client shall pay all fees in accordance with the Payment Schedule. Failure to pay amounts when due shall constitute a breach and may result in suspension of services until payment is made. Client is responsible for any costs of collection, including reasonable attorney's fees.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach is not cured within the notice period specified above. Termination does not relieve Client of the obligation to pay for services performed prior to termination.

CONFIDENTIALITY

Except as required by law or as necessary to perform the inspection and prepare the inspection report, the parties shall keep confidential all non-public information disclosed in connection with this Agreement. Inspector may disclose inspection findings to Client and, at Client's direction, to the real estate broker or seller. Inspector shall not disclose Client's personal information to third parties without Client's consent.

LIMITATION OF LIABILITY

Inspector's liability for any claim arising out of or related to this Agreement or the inspection shall be limited to direct damages not to exceed the greater of (i) the total fees paid by Client under this Agreement or (ii) two thousand five hundred dollars ($2,500), unless otherwise agreed in writing. In no event shall Inspector be liable for consequential, incidental, punitive, or special damages. Client acknowledges that this allocation of risk is reflected in the fee charged for services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or addenda signed by the parties, constitutes the entire agreement between Client and Inspector with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written. Any modification to this Agreement must be in writing and signed by both parties.

ADDITIONAL TERMS

Client shall provide reasonable access to the property and utilities necessary for inspection. Client shall indemnify and hold Inspector harmless from claims arising from Client's failure to disclose known hazards or to provide safe access. Any dispute arising from this Agreement shall first be submitted to non-binding mediation before initiating litigation.
