PROPERTY INSPECTION CONTRACT

This Property Inspection Contract (the "Agreement") is made on between Inspector: and Client Name: .

WHEREAS

WHEREAS, Inspector represents that Inspector is duly licensed, trained and qualified to perform professional property inspection services and will perform such services in accordance with the scope and standards set forth in this Agreement; and

WHEREAS, Client desires to engage Inspector to perform an inspection of the real property commonly known as: (the "Property") and Inspector is willing to perform the inspection under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Inspector shall perform a visual, non-invasive inspection of the Property limited to readily accessible and visible components. The inspection will include, but is not limited to, evaluation of the structure, roof (from accessible vantage points), exterior, plumbing systems, electrical systems, heating and cooling systems, and interior components. This inspection does not include concealed, latent, or underground conditions, hazardous materials, environmental testing, or code compliance verification unless expressly stated below.

ACCESS, UTILITIES AND SAFETY

Client shall grant Inspector and Inspector's agents reasonable access to the Property and all areas requested for inspection. Client shall ensure utilities are active at the time of inspection. Inspector will not be required to enter areas that, in Inspector's sole judgment, are unsafe. Inspector is not responsible for damage to areas that are unsafe or not readily accessible.

Late Payment: Any payment not received within days of the due date will incur a late fee of on the outstanding balance, plus costs of collection and interest to the extent permitted by law.

CONFIDENTIALITY

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the inspection, including the inspection report, and shall not disclose such information to third parties except as required by law or with the other party's prior written consent. Confidential information does not include information that is or becomes publicly available other than by breach of this Agreement.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, Inspector's liability arising out of or relating to this Agreement shall be limited to the greater of the total fees paid under this Agreement or $. Under no circumstances shall Inspector be liable for incidental, special, punitive or consequential damages.

INDEMNIFICATION

Client shall indemnify, defend and hold harmless Inspector and Inspector's agents from and against any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of Client's failure to disclose material facts, Client's negligence, or Client's breach of this Agreement, except to the extent caused by Inspector's breach, gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and the inspection report when issued, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
