PROPERTY INSPECTION WAIVER FORM

This Property Inspection Waiver Form (the "Agreement") is entered into between the parties identified below and governs the waiver of certain inspection rights and related obligations concerning the property described herein.

WHEREAS, Owner/Agent represents that the real property identified in this Agreement is being offered for transfer, lease or other conveyance; and

WHEREAS, Prospective Buyer/Lessee has been given the opportunity to inspect the property by qualified persons or professionals and, notwithstanding that opportunity, elects to waive certain inspection rights subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective acknowledgements, waivers, indemnities, and other terms in writing.

The Prospective Buyer/Lessee hereby elects to waive the following rights with respect to the property (select all that apply):

Waiver of right to conduct a physical on-site inspection by the Prospective Buyer/Lessee.

Waiver of right to obtain professional inspections (including structural, pest, environmental or systems inspections).

Waiver of any contractual repair or remediation contingency based on inspection findings.

By selecting any waiver above and signing this Agreement, the Prospective Buyer/Lessee acknowledges that they have been advised of the potential risks associated with waiving inspection rights, accept the property in its present condition subject to the terms below, and will not later claim that a lack of inspection caused any failure to discover defects.

TERM AND TERMINATION

This Agreement shall become effective as of Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement upon written notice to the other party delivered not less than days prior to the effective termination date. Termination shall not relieve the parties of obligations accrued prior to termination, including payment obligations and indemnities.

CONFIDENTIALITY

Each party agrees to keep confidential all non-public information obtained in connection with this Agreement and the property, including inspection reports, repair estimates and proprietary disclosures (collectively, "Confidential Information"). Confidential Information shall not include information that is or becomes publicly known other than by a breach of this Agreement, or that is required to be disclosed by law or valid process. The receiving party shall take reasonable measures to protect such information and shall not use or disclose it except as necessary to perform under this Agreement.

INDEMNIFICATION

The Prospective Buyer/Lessee shall indemnify, defend and hold harmless the Owner/Agent from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the Prospective Buyer/Lessee's decision to waive inspection rights, except to the extent caused by the Owner/Agent's gross negligence or willful misconduct. The parties may agree to a monetary cap on indemnity obligations below.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law. Any dispute arising out of this Agreement shall be resolved in the state or federal courts located within that state, and the parties consent to personal jurisdiction and venue there.

ENTIRE AGREEMENT

This Agreement, together with any written exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment, modification or waiver shall be binding unless in writing and signed by both parties.

By signing below, each signatory certifies that they are authorized to execute this Agreement on behalf of the party for whom they sign; that they have read and understood the terms of this Agreement; and that they accept and agree to be bound by its terms.
