PROPERTY LICENCE DEED

This Property Licence Deed (the "Deed") is made on the day of , between Licensor Name: of (Licensor) and Licensee Name: of (Licensee).

RECITALS

WHEREAS, Licensor is the registered owner or lawful occupier of the property described in Clause 1 below (the "Property"); and

WHEREAS, Licensee has requested, and Licensor is willing to grant, a licence to use a specified portion of the Property for the limited purposes and subject to the terms and conditions set out in this Deed; and

WHEREAS, the parties intend that the rights granted by this Deed are personal, revocable in accordance with Clause 11 and do not create any tenancy, easement or estate in the Property.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

2.1 Subject to the terms and conditions of this Deed, Licensor grants to Licensee a non-exclusive, revocable licence to enter upon and use the Licence Area for the Permitted Use set out in Clause 3 for the Term specified in Clause 4.

3. PERMITTED USE; RESTRICTIONS

3.1 Permitted Use: Licensee may use the Licence Area only for the following purpose(s):

4.1 The Licence shall commence on and shall continue until unless earlier terminated in accordance with this Deed.

5. LICENCE FEE AND PAYMENT

5.1 Licensee shall pay to Licensor a licence fee of payable in cleared funds to the Licensor's nominated account.

6. MAINTENANCE, REPAIRS AND ALTERATIONS

6.1 Licensee shall keep the Licence Area in a clean and safe condition and shall, at Licensee's expense, promptly repair any damage caused by Licensee's use but shall not undertake structural repairs to the Property without Licensor's prior written consent.

6.2 No permanent or material alterations, fixings or installations shall be made to the Property by Licensee without the Licensor's prior written consent. Any approved alterations shall be carried out in a good and workmanlike manner and may be required to be removed at Licensee's expense on expiry or termination.

7. INSURANCE AND RISK

7.1 The Licensee shall effect and maintain insurance cover with a reputable insurer for public liability insuring against liability arising out of Licensee's use of the Licence Area in an amount not less than and shall provide evidence of such insurance upon request.

7.2 All risk of loss to Licensee's property or installations lies with the Licensee. Licensor shall not be liable for loss of, or damage to, Licensee's property on the Property except where caused by Licensor's gross negligence or wilful misconduct.

8. INDEMNITY

8.1 The Licensee shall indemnify and keep indemnified the Licensor against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable legal costs) arising out of or in connection with Licensee's use of the Licence Area, except to the extent caused by the Licensor's negligence or breach of this Deed.

9. ASSIGNMENT AND SUB-LICENCE

9.1 The Licensee shall not assign, transfer or grant any sub-licence of its rights under this Deed without the prior written consent of the Licensor, such consent not to be unreasonably withheld where the proposed assignee or sub-licensee will observe and perform the obligations of the Licensee.

10. TERMINATION

10.1 Either party may terminate this Deed by giving not less than prior written notice to the other party.

10.2 Licensor may terminate this Deed immediately by written notice if the Licensee commits a material breach of this Deed which is not remedied within a reasonable period after written notice requiring remedy.

11. SURRENDER AND RESTORATION

11.1 On expiry or termination of this Deed for any reason, the Licensee shall promptly remove all movable equipment and repair any damage caused by such removal and shall surrender possession of the Licence Area to Licensor in good and tenantable condition, fair wear and tear excepted.

12. NOTICES

12.1 All notices under this Deed shall be in writing and shall be delivered by hand, sent by pre-paid recorded delivery or sent by certified mail to the addresses set out above and will be effective on actual receipt by the addressee.

13. AMENDMENT; WAIVER; COUNTERPARTS

13.1 No amendment or variation of this Deed shall be effective unless made in writing and signed by or on behalf of each of the parties.

13.2 A waiver of any right or remedy under this Deed must be in writing and signed by the party granting the waiver; failure or delay to exercise a right does not constitute a waiver.

13.3 This Deed may be executed in counterparts and, when each party has signed at least one counterpart, the counterparts together shall constitute one and the same instrument.

14. GOVERNING LAW

14.1 This Deed and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: .

15.1 This Deed constitutes the entire agreement between the parties in relation to the subject matter of this Deed and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or in writing, relating to such subject matter.

16. SEVERABILITY

16.1 If any provision of this Deed is held to be illegal, invalid or unenforceable under applicable law, such provision shall be amended to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

17. MISCELLANEOUS

17.1 Relationship of the Parties: Nothing in this Deed shall create a partnership, joint venture or employment relationship between the parties.

17.2 Remedies Cumulative: The rights and remedies provided by this Deed are cumulative and not exclusive of any rights or remedies provided by law.
