Owner shall indemnify and hold Manager harmless from claims arising from Owner's negligence, title defects, or failure to maintain insurance, except to the extent caused by Manager's gross negligence or willful misconduct. Manager's liability for any claim shall be limited to direct damages and shall not include consequential or punitive damages.

Term and Termination

Records, Accounting and Owner Access

Manager shall maintain complete and accurate records of receipts, disbursements and account balances. Manager will provide monthly statements and supporting documentation within a commercially reasonable time following month-end.

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice.

Default, Remedies and Governing Law

A material breach by either party shall entitle the non-breaching party to give written notice and, if the breach is not cured within the notice period, to terminate this Agreement and pursue any remedies available at law or equity. This Agreement shall be governed by the laws of the state in which the Property is located. The parties expressly agree that venue for disputes shall lie in the courts of that jurisdiction.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between Owner and Manager concerning the Property and supersedes prior negotiations and agreements. Any amendment must be in writing and signed by both parties.
