The Property Manager shall be compensated as set forth below. Unless otherwise agreed in writing, Client authorizes Manager to incur reasonable expenditures on Client’s behalf in accordance with the approved budget and to deduct fees and authorized expenses from collected rents or Client account.

Term and Termination

This Case Form commences on the Start Date and remains in effect until the completion of the described services or the End Date, unless earlier terminated in accordance with the terms below.

Either party may terminate this engagement for material breach if the breaching party fails to cure the breach within the notice period. Termination does not relieve Client of obligation to pay fees and expenses incurred through the effective date of termination and any costs reasonably necessary to wind down active matters.

Confidentiality

Each party shall maintain the confidentiality of non-public information obtained from the other party in connection with this Case Form and shall not disclose such information except (a) to employees, agents or contractors who need access to perform the services and who are bound by confidentiality obligations, (b) as required by applicable law, or (c) with the disclosing party’s prior written consent. Confidential information does not include information that is publicly available through no fault of the receiving party.

Insurance & Liability

Property Manager shall maintain insurance coverage customary for the services performed, including general liability and, where applicable, workers’ compensation. Manager’s liability for direct damages arising out of gross negligence or willful misconduct shall not be limited; for other claims, Manager’s liability shall be limited to the fees paid for the specific case, except as otherwise required by law.

Governing Law; Dispute Resolution

This Case Form shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Parties shall attempt in good faith to resolve disputes amicably before initiating litigation or arbitration.

Entire Agreement

This document, together with any attachments or written amendments signed by both parties, constitutes the entire agreement between Client and Property Manager with respect to the subject matter hereof and supersedes all prior oral or written statements, proposals or agreements. Any modification must be in writing and signed by authorized representatives of both parties.
