Default, Indemnification and Remedies

Default: A party shall be in default if it materially breaches this Change Form and fails to cure within 15 days after receipt of written notice. Remedies for default include equitable relief and recovery of costs, including reasonable attorney fees, as provided by law.

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from claims, liabilities, losses or expenses (including reasonable attorney fees) arising from that party's negligent acts, willful misconduct, or breach of this Change Form.

Governing Law and Miscellaneous

Governing Law: This Change Form shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for disputes shall be in the appropriate state or federal court for that jurisdiction.

Entire Agreement: This Change Form, together with any management agreement executed contemporaneously, constitutes the entire agreement of the parties concerning the subject matter and supersedes prior oral or written agreements concerning the same.
