WHEREAS, Owner is the legal owner of the real property described below and desires to retain Manager to provide management services for such property on the terms and conditions set forth in this Property Management Form; and

Scope of Work

Manager shall perform the following services with due care, in a commercially reasonable manner and in accordance with applicable law. Manager's responsibilities include leasing, rent collection, tenant screening, maintenance coordination, accounting, and statutory compliance as described below. Specific tasks and limitations:

Payment Terms

Owner shall compensate Manager as follows. Fees are earned when due and payable regardless of Owner's receipt of rents.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until terminated as set forth below.

Either party may terminate for convenience upon giving written notice in accordance with the notice period above. Either party may terminate immediately for material breach by the other party if such breach is not cured within thirty (30) days after receipt of written notice of the breach. Upon termination Manager will provide a final accounting, remit collected funds after payment of authorized expenses and fees, and deliver tenant records and keys to Owner or Owner's designee.

Confidentiality

Each party shall treat as confidential and not disclose to third parties any non-public information concerning the other party, the terms of this Agreement, tenant information, financial records, and other proprietary data learned in connection with the performance of this Agreement, except as required by law or as necessary to perform obligations under this Agreement. Confidential information does not include information that becomes publicly available without breach of this Agreement or that a party can demonstrate was independently developed or known prior to disclosure.

Insurance; Indemnification

Manager shall maintain commercially reasonable liability insurance covering its operations. Owner shall maintain property insurance as required by mortgagees and applicable law. Each party shall indemnify and hold the other harmless from claims arising from its own negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the indemnified party's negligence.

Accounting and Records

Manager shall keep complete and accurate records of all receipts and expenditures relating to the property and shall provide Owner with periodic statements in accordance with the accounting frequency above. Owner may inspect records upon reasonable notice during normal business hours.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of: , without regard to its conflict of laws principles.

Entire Agreement; Amendment

This Agreement, together with any attachments or addenda signed by both parties, constitutes the entire agreement between Owner and Manager with respect to the subject matter hereof and supersedes all prior agreements, understandings and representations. No modification or waiver of any provision shall be effective unless in writing and signed by both parties.
