PROPERTY MANAGEMENT LOFTS AGREEMENT

This Property Management Agreement (the "Agreement") is made and entered into as of by and between:

RECITALS

WHEREAS, Owner is the legal owner of certain loft-style residential units and related common areas located at (the "Property"); and

WHEREAS, Manager has the expertise, personnel and licensing to provide property management services for residential loft units; and

WHEREAS, Owner desires to engage Manager to manage, operate, lease and maintain the Property on the terms and conditions set forth herein.

SCOPE OF WORK

Manager shall provide property management services for the Property, which shall include tenant placement and leasing, rent collection, property maintenance coordination, contract administration, accounting and reporting, and enforcement of lease terms. Specific duties and exclusions are described below and further detailed in the Scope of Work.

PAYMENT TERMS

As compensation for services rendered, Owner shall pay Manager as set forth below:

Reimbursable expenses incurred by Manager on behalf of Owner shall be paid within days of invoice presentation. Manager shall obtain Owner approval for any single expenditure exceeding unless an emergency repair is necessary to prevent imminent damage or injury.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement without cause by providing the other party with no less than days' prior written notice. Termination for cause may be immediate upon written notice where the breaching party fails to cure a material breach within 30 days of written notice.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public business, financial and tenant information obtained from the other party in connection with this Agreement and shall not disclose such information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential information shall not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) is independently developed by the receiving party without use of the disclosing party's confidential information; or (c) is required to be disclosed by law or valid court order, provided the receiving party gives prompt notice to the disclosing party and cooperates in seeking a protective order.

INSURANCE, BONDING AND INDEMNITY

Manager shall maintain commercial general liability insurance and professional liability insurance in amounts reasonably sufficient for the services provided and shall provide proof of insurance to Owner upon request. Manager shall indemnify and hold Owner harmless from claims arising from Manager's gross negligence or willful misconduct. Owner shall indemnify Manager for liabilities resulting from Owner's breach of this Agreement or Owner's negligence.

RECORDS, REPORTING AND ACCOUNTING

Manager shall maintain complete and accurate records of all transactions and shall provide Owner with monthly statements of income and expenditures, copies of invoices for disbursements, and an annual reconciliation. Owner shall have the right to inspect records during normal business hours upon reasonable notice.

ACCESS, KEYS AND EMERGENCY REPAIRS

Manager shall keep a secure key inventory and shall permit access to tenants, contractors and emergency responders as necessary. Manager is authorized to undertake emergency repairs to protect health, safety or prevent material damage up to per occurrence without prior Owner approval, subject to prompt notice to Owner.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law provisions.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Relationship of Parties: Manager is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture or employment relationship. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Owner may assign to a purchaser of the Property. Severability: If any provision is held invalid, the remaining provisions shall remain in full force and effect.
