PROPERTY MANAGEMENT LOX

This Property Management Letter of Authorization (the "LOX") is made and entered into by and between Owner Name: and Property Manager Name: with Effective Date: . Owner Name and Property Manager Name are sometimes referred to individually as a "Party" and together as the "Parties."

RECITALS

WHEREAS, Owner is the legal owner of the real property commonly known as (the "Property"); and

WHEREAS, Owner desires to engage Manager to perform property management services for the Property, and Manager is willing to provide such services under the terms and conditions set forth in this LOX; and

WHEREAS, the Parties intend by this LOX to define the scope of authority granted to Manager and the terms of compensation, confidentiality, term and termination, and other material matters concerning the management relationship.

SCOPE OF WORK

Manager shall provide property management services for the Property, including but not limited to the following duties. Manager's specific duties and responsibilities shall be as follows:

Manager is specifically authorized to perform the following actions on behalf of Owner (check all that apply):

Maintenance and repair authorization limit: $ per individual work order without prior Owner approval. Expenditures in excess of this amount require Owner's written consent except in emergencies that threaten life, limb or the structural integrity of the Property.

PAYMENT TERMS

Management Fee: Owner shall pay Manager a management fee of of gross collected rents or a flat fee of $ per month, as selected by Owner.

Fee Schedule: Manager will invoice Owner on a basis and shall provide accounting of receipts and disbursements with each invoice.

Expenses and Reimbursements: Owner will reimburse Manager for reasonable out-of-pocket expenses incurred in performance of services, including maintenance, utilities, advertising, legal fees and other third-party costs, subject to any pre-approval limits set forth herein.

Late Payment: Amounts due to Manager not paid within days after invoice shall accrue interest at a rate of per month (or the maximum rate permitted by law), plus collection costs and reasonable attorneys' fees.

TERM AND TERMINATION

Term: The term of this LOX shall commence on and shall continue until unless earlier terminated as provided herein.

Termination Without Cause: Either Party may terminate this LOX without cause by providing the other Party with written notice at least days prior to the desired termination date.

Termination For Cause: Either Party may terminate immediately for material breach of this LOX if the breaching Party fails to cure such breach within days after receipt of written notice specifying the breach. Termination does not relieve either Party of obligations accrued prior to termination.

CONFIDENTIALITY

Each Party shall hold in strict confidence all non-public information disclosed by the other Party in connection with this LOX, including but not limited to tenant information, financial statements, proprietary business information and marketing strategies ("Confidential Information"). Confidential Information shall not include information that (a) is or becomes public other than through a breach of this LOX, (b) is independently developed by the receiving Party without use of the disclosing Party's Confidential Information, or (c) is required to be disclosed by law or court order, provided that the receiving Party gives prompt written notice to the disclosing Party and cooperates in any protective order or other protective measures sought by the disclosing Party.

Upon expiration or termination of this LOX, Manager shall return or securely destroy all Confidential Information of Owner in Manager's possession, except that Manager may retain copies to the extent required for legal, tax or archival purposes, subject to continued confidentiality obligations.

INDEMNIFICATION AND INSURANCE

Owner shall indemnify and hold harmless Manager from claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Owner's failure to disclose material information concerning the Property or Owner's breach of any representation or warranty. Manager shall indemnify and hold harmless Owner from claims, liabilities, losses and expenses arising from Manager's gross negligence or willful misconduct in performing its duties under this LOX.

Manager shall maintain commercially reasonable liability and errors & omissions insurance covering the services provided pursuant to this LOX and shall provide proof of such insurance to Owner upon request.

NOTICES

GOVERNING LAW

This LOX shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any dispute arising under this LOX shall be resolved in the state or federal courts located in that State, and the Parties consent to jurisdiction and venue in those courts.

ENTIRE AGREEMENT

This LOX constitutes the entire agreement and understanding between the Parties with respect to the subject matter contained herein and supersedes all prior oral or written agreements, representations and understandings. Any amendment to this LOX must be in writing and signed by both Parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither Party may assign its rights or delegate its obligations under this LOX without the prior written consent of the other Party, except that Owner may assign this LOX in connection with a sale of the Property provided the assignee assumes Owner's obligations hereunder.

Severability: If any provision of this LOX is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Authority: Each person signing below represents and warrants that they have the full right, power and authority to enter into and perform their obligations under this LOX.
