Parties and Property

Effective Date:

Recitals

WHEREAS, Owner Name: owns the real property described above and desires to retain Manager to provide property management services for the Property; and

WHEREAS, Manager Name: represents that it has the skill, experience and licenses necessary to perform property management services and agrees to manage the Property on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope of services, compensation, and other rights and obligations with respect to the management of the Property.

Scope of Work

Manager shall provide comprehensive property management services for the Property, which shall include but not be limited to leasing and marketing, tenant screening, rent collection, routine maintenance coordination, emergency repairs, vendor contracting, inspection, and accounting and reporting to Owner. Specific duties and limitations are described below.

Payment Terms

Owner shall compensate Manager as set forth below. All fees are stated in U.S. dollars and are exclusive of applicable taxes and charges.

Manager is authorized to deduct management fees, approved vendor invoices, and reserves from collected funds prior to remittance to Owner. Manager shall not incur or obligate Owner to expenses in excess of without Owner's prior written approval, except in emergencies where immediate action is required to prevent material damage to the Property or risk to health and safety.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon written notice of days to the other party. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of 15 days after written notice specifying the breach, or immediately for acts of willful misconduct, gross negligence, fraud, or loss of required licensing.

Confidentiality

Each party acknowledges that it will receive or have access to confidential information of the other party. "Confidential Information" includes financial records, tenant information, owner contact information, trade secrets, and other non-public business information. Each party shall (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except employees, agents or contractors with a need to know who are subject to confidentiality obligations; and (c) use Confidential Information only for the purposes of performing under this Agreement. Confidential obligations survive termination for a period of three (3) years, except for personally identifying tenant information and financial records, which shall be retained in confidence for the longer of five (5) years or as otherwise required by law.

Insurance, Indemnification and Liability

Owner shall maintain property and liability insurance covering the Property in amounts consistent with local market practice and shall name Manager as an additional insured for claims arising from Manager's performance hereunder where permitted by insurer. Manager shall maintain commercial general liability insurance and, where applicable, professional liability insurance. Each party shall indemnify, defend and hold the other harmless from claims, losses or damages arising from its own negligent acts or omissions, willful misconduct, or breaches of this Agreement.

Reporting and Access

Manager shall maintain accurate books and records of all transactions related to the Property and shall provide Owner with periodic statements and copies of invoices upon request. Owner and its authorized representatives shall have reasonable access to records during normal business hours.

Notices

All notices must be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses above (or to such other address as a party designates by written notice).

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the governing state specified above, without regard to conflict of law principles. The parties shall first meet in good faith to attempt resolution of any dispute arising under this Agreement. If not resolved within 30 days, disputes shall be resolved by binding arbitration in the governing state, unless the parties mutually agree otherwise in writing.

Entire Agreement; Amendment

This Agreement, including any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall create a partnership, joint venture, agency or employment relationship other than as expressly provided. Time is of the essence with respect to the performance of obligations under this Agreement.

Acknowledgment

Each party acknowledges that it has read and understands this Agreement, has had the opportunity to consult counsel, and enters into this Agreement voluntarily and with full knowledge of its terms and legal effect.
