Manager will exercise commercially reasonable efforts to update and maintain accurate records, and will promptly notify Owner of material changes in occupancy, rent or tenant status.

Governing Law

This Agreement and the interpretation of this Rent Roll shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Rent Roll and the provisions contained herein, together with any attachments and addenda executed by the parties, constitute the entire agreement between Owner and Manager with respect to the matters addressed herein and supersede all prior oral or written agreements, understandings or representations.
