Scope of Services

Subcontractor shall perform property management services on behalf of Primary Manager in accordance with this Agreement. Services include, without limitation, the tasks set forth below and any additional tasks as mutually agreed in writing.

The term of this Agreement shall commence on and continue until unless earlier terminated in accordance with the Termination provisions below.

Compensation and Payment

Subcontractor shall submit invoices to Primary Manager with supporting documentation within days of performance. Primary Manager shall pay undisputed amounts within the payment period above. Disputed items shall be resolved in good faith.

Insurance; Indemnity; Compliance

Subcontractor shall maintain at its expense general liability insurance with limits not less than per occurrence and workers' compensation coverage as required by law. Subcontractor shall provide certificates of insurance upon request.

Indemnification: Subcontractor shall indemnify, defend and hold harmless Primary Manager, its officers, agents and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Subcontractor's performance, negligence or willful misconduct, except to the extent caused by the gross negligence or willful misconduct of Primary Manager.

Compliance: Subcontractor will comply with all applicable federal, state and local laws, ordinances, codes and regulations applicable to the performance of services, including licensing and landlord-tenant laws where applicable.

Independent Contractor; No Agency

Subcontractor is an independent contractor. Nothing in this Agreement shall be construed to create an employment, joint venture, partnership or agency relationship between the parties. Subcontractor shall not bind Primary Manager to any obligation without prior written authorization.

Recordkeeping and Audit

Subcontractor shall keep accurate records relating to the performance of services and financial transactions for a period of three (3) years following the date of such records and shall permit Primary Manager to audit records upon reasonable notice during normal business hours.

Termination; Remedies

Either party may terminate this Agreement for cause if the other party materially breaches any provision and fails to cure within days after written notice. Primary Manager may terminate for convenience upon days' written notice. Upon termination Subcontractor shall deliver records and any client property in Subcontractor's possession. The termination of this Agreement shall not relieve either party of obligations accrued prior to termination.

Remedies: All remedies available under this Agreement are cumulative and in addition to any remedies available at law or in equity.

Assignment; Subcontracting

Subcontractor shall not assign or delegate its obligations without the prior written consent of Primary Manager. Subcontractor shall not engage additional subcontractors to perform the services without Primary Manager's prior written approval.

Confidentiality

Subcontractor shall maintain the confidentiality of all nonpublic information obtained in connection with the performance of services and shall not disclose such information except as required by law or with Primary Manager's prior written consent.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state specified for notices below, without regard to conflict of law principles. This Agreement, together with any written attachments or authorized amendments, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral.

All notices required or permitted hereunder shall be in writing and shall be delivered to the parties at their respective addresses set forth below by personal delivery, certified mail (return receipt requested), or commercial overnight carrier.

Miscellaneous Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Amendment: This Agreement may be amended only by a written instrument signed by both parties. Waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement.
