PROPERTY PLANT MANAGEMENT AGREEMENT

This Property Plant Management Agreement (the Agreement) is entered into by and between:

RECITALS

WHEREAS, Owner owns and operates the plant facility and associated real property and equipment described in Exhibit A and desires to retain Manager to provide professional management, operation, maintenance and supervisory services for the plant; and

WHEREAS, Manager represents that it has the requisite expertise, personnel, licenses and insurance to perform comprehensive plant management services and is willing to provide such services on the terms and conditions set forth in this Agreement.

WHEREAS, the parties wish to set forth their respective duties, compensation, reporting obligations and other terms governing the management relationship.

SCOPE OF WORK

Manager shall perform the management, operation and maintenance services for the plant described below and in Exhibit A. Manager's duties shall include, without limitation, the following categories and any related tasks reasonably necessary for proper plant operation:

PAYMENT TERMS

As full compensation for the services described in this Agreement, Owner shall pay Manager in accordance with the terms set forth below.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above after delivery of written notice. Owner may terminate immediately for reasons involving imminent danger to persons or significant property damage.

CONFIDENTIALITY

Except as required by law, Manager shall maintain in strict confidence all proprietary and confidential information of Owner obtained in the course of performance and shall not disclose such information to any third party without Owner's prior written consent. Confidential information includes, at a minimum, technical data, process and equipment specifications, operating procedures, financial information and customer lists. Manager shall use confidential information solely for the purposes of performing its obligations under this Agreement.

INSURANCE AND INDEMNIFICATION

Manager shall maintain and deliver evidence of insurance coverage including commercial general liability, workers' compensation and any industry-specific coverage reasonably required by Owner. Manager shall indemnify and hold Owner harmless from and against claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of Manager's negligent performance or willful misconduct, except to the extent caused by Owner's gross negligence or willful misconduct.

COMPLIANCE WITH LAWS

Manager shall comply with all applicable federal, state and local laws, permits, regulations and industry codes in performing services hereunder, including environmental, health and safety requirements. Manager shall promptly notify Owner of any regulatory action or violation affecting the plant.

NOTICES

All notices, requests and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses below by hand, nationally recognized overnight courier, or certified mail, return receipt requested.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Any dispute arising hereunder shall be resolved by binding arbitration or as otherwise agreed in writing by the parties.

ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. This Agreement may be amended only by a written instrument executed by both parties.

MISCELLANEOUS

Manager shall not subcontract the core management responsibilities without Owner's prior written consent. Neither party shall assign this Agreement without the prior written consent of the other, except that Owner may assign to an affiliate or successor in interest to the plant. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
