Either party may terminate this engagement for material breach if such breach is not cured within   days after written notice. Termination will not relieve Owner of obligations to pay fees for services performed through the date of termination.

Confidentiality

The parties agree that the inspection report, photographs, and related communications are confidential and will not be disclosed to third parties except (a) as required by law, (b) to prospective purchasers or their representatives for legitimate property transaction purposes, or (c) with the prior written consent of the other party.

Certification and Limitations

Inspector certifies that the inspection will be performed in accordance with the Scope of Pre-Inspection described herein. The pre-inspection is a non-invasive, visual assessment of readily accessible components and systems and is not a code compliance inspection, engineering analysis, or guarantee of future performance. Inspector will not perform destructive testing, open concealed components, or move heavy furniture or personal property without prior written agreement. Inspector is not responsible for latent or concealed defects that are not reasonably observable during a limited visual inspection.

Owner acknowledges responsibility to provide safe access to areas to be inspected and to disclose known material defects and relevant history. Owner agrees to indemnify Inspector for claims arising from Owner's failure to provide access or accurate disclosures.

Governing Law

This Agreement and any dispute arising out of the pre-inspection engagement will be governed by the laws of the state of , without regard to conflict of law principles.

Entire Agreement

This form, together with any attached scopes, addenda, or signed fee confirmations, constitutes the entire agreement between Owner and Inspector with respect to the pre-inspection and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modification to this agreement must be in writing and signed by both parties.
