PROPERTY RELEASE FORM

RECITALS

This Property Release Form (the "Agreement") is made on between:

WHEREAS, Releasor is the lawful owner or authorized custodian of certain tangible personal property and wishes to release, transfer, and/or deliver possession of such property to Releasee under the terms set forth herein; and

WHEREAS, Releasee agrees to accept the property and to assume responsibility as specified in this Agreement in consideration of the mutual promises contained herein; and

WHEREAS, the parties intend that this Agreement constitute a complete and binding release of specified claims and rights as set forth below.

PROPERTY DESCRIPTION

The property subject to this release consists of the items described below, including accessories, attachments, and any associated documentation. Attach additional pages if necessary.

SCOPE OF RELEASE

Releasor hereby releases, conveys, assigns, and transfers to Releasee all right, title, interest, and possession in and to the property described above to the extent lawful and permitted. The release includes transfer of possession and any documentation necessary for Releasee to take lawful ownership or custody.

CONSIDERATION / PAYMENT TERMS

In exchange for the transfer and release of the property, Releasee shall provide the consideration described below. The parties acknowledge that the stated consideration is fair and sufficient.

TERM AND TERMINATION

This Agreement shall be effective as of and shall continue until unless earlier terminated in accordance with this Section.

RELEASE, WAIVER, AND REPRESENTATIONS

Releasor hereby irrevocably releases and forever discharges Releasee and Releasee's agents, representatives, successors, and assigns from any and all claims, demands, suits, causes of action, liabilities, damages, losses, costs and expenses of any nature arising out of or related to the property described above, whether known or unknown, contingent or fixed, that arise prior to the date of transfer.

Releasor expressly represents and warrants that Releasor is the lawful owner of the property or has full authority to transfer the property; that the property is free and clear of liens, encumbrances, security interests, or claims except as expressly disclosed in writing; and that Releasor has not assigned or otherwise transferred any claim or right released by this Agreement to any third party.

Acknowledgement: Releasor affirms under penalty of perjury that the statements in this form are true and accurate to the best of Releasor's knowledge.

INDEMNIFICATION

Releasor agrees to indemnify, defend and hold harmless Releasee from and against any and all claims, demands, damages, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Releasor's representations, warranties, or obligations under this Agreement, including claims related to title, ownership, or third-party rights in the property.

CONFIDENTIALITY

Except as required by law, the parties shall keep confidential the terms of this Agreement and any non-public information disclosed in connection with the transfer of the property. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or information lawfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without giving effect to choice of law rules that would result in the application of the laws of another jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements, understandings, and negotiations. Any amendment or modification must be in writing and signed by both parties.

NOTICES

Notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing. Notice shall be effective upon personal delivery, three (3) days after deposit with the postal service, or one (1) day after deposit with a nationally recognized overnight courier.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties agree that monetary damages may be inadequate and that equitable relief, including specific performance or injunctive relief, may be appropriate to enforce this Agreement.
