Common pitfalls to avoid

  • Failing to match legal names or TINs can cause payment delays, backup withholding, and require forms to be reissued, increasing administrative work and vendor dissatisfaction.
  • Omitting required attachments such as W-9 or professional licenses often causes verification failures and delays account activation or payment processing.
  • Using ambiguous effective dates or failing to indicate notice periods can create disputes over billing cycles and service responsibilities between parties.
  • Relying on image-only signatures without a clear audit trail or signer attribution risks noncompliance with ESIGN/UETA in contested scenarios.

Potential penalties and operational risks

Backup Withholding: 24% backup withholding (IRC §3406)
1099 Filing Penalties: Penalties $60–$330 per form under IRC §6721
Contract Disputes: Disputed billing and service gaps risk litigation or arbitration
Regulatory Noncompliance: HIPAA violations can invoke civil penalties and corrective action
Delayed Payments: Payment interruptions and vendor claims may follow missed updates
