Essential Clauses to Include

A professional Provider Services Agreement contains several standard clauses that reduce ambiguity and protect both parties.

Payment Terms

Rates, invoicing schedule, due dates, late fees, expense reimbursement, and whether payments are conditioned on acceptance testing.

Confidentiality

Definition of confidential information, permitted disclosures, duration of obligations, and handling after termination.

Indemnity and Insurance

Mutual indemnities where appropriate, required insurance levels, and proof of coverage requirements to allocate risk.

Termination for convenience and cause, cure periods, transition assistance, and liquidated damages or limitation of liability caps.

Common Preparation Mistakes to Avoid

  • Vague scope descriptions that lead to disputes about deliverables and payment obligations.

  • Not specifying payment triggers or acceptance criteria, which creates invoice disputes and late payments.
  • Failing to require proof of insurance or correct certificate holder language before work commences.

Tax Withholding: Backup withholding 24% for missing TIN
Misclassification: IRS penalties for misclassifying workers
