What a Proxy Assembly Agreement Is and How It’s Used

Proxy Assembly Agreement is a legal document used to designate a representative or group to assemble, prepare, or execute corporate proxies or shareholder meeting materials on behalf of one or more shareholders or members. It records the scope of authority, instructions for voting, effective period, and any limitations or substitution rights. Often used by broker-dealers, corporate counsel, and institutional investors, it clarifies who may compile proxy statements, collect proxies, and deliver consolidated voting instructions to a company or its transfer agent. The agreement helps avoid disputes over authority and ensures chain of custody for proxy materials.

Why a Clear Proxy Assembly Agreement Matters

A clear Proxy Assembly Agreement reduces ambiguity about who may collect and submit proxies, documents voting instructions, and manage meeting materials. It protects parties by documenting consent, limits, timelines, and recordkeeping responsibilities necessary for regulatory compliance and shareholder governance.

Why a Clear Proxy Assembly Agreement Matters

Common Users and Practical Roles

Typical users include corporate secretaries, institutional investors, proxy solicitation firms, and legal counsel managing shareholder votes and proxy materials.

  • Corporate secretaries managing meeting logistics, ballots, and official filings for public and private companies.
  • Institutional investors consolidating voting instructions across multiple managed accounts and custodial relationships.
  • Proxy solicitation firms coordinating collection, verification, and delivery of executed proxies.

These parties rely on the agreement to document authority, audit trails, and timelines that support governance and regulatory reviews.

Representative Signatory Profiles

Chief Legal Officer

Corporate CLOs use the Proxy Assembly Agreement to centralize instructions for shareholder voting, ensure procurement of valid proxies, and document delegations to external solicitors. The agreement supports compliance with SEC proxy rules and preserves an evidentiary chain for internal governance reviews and external audits.

Institutional Portfolio Manager

Portfolio managers provide consolidated voting directives to custodians and recordkeepers via the agreement to ensure consistent execution across funds. The document reduces operational risk, clarifies cut-off times for ballots, and supports regulatory reporting and proxy voting policy audits.

Security and Compliance Basics to Include

Encryption in Transit: TLS 1.2/1.3
Encryption at Rest: AES-256 encryption at rest
Certifications: SOC 2 Type II, ISO 27001
Regulatory Support: ESIGN, UETA, 21 CFR Part 11
HIPAA: HIPAA-compliant with BAA option
Audit Trail: Detailed timestamped signing history and IP

Key Risks and Consequences of Poorly Prepared Agreements

Invalid Authority: Contested votes; legal challenge risk.
Missing Signatures: Proxies may be voided.
Regulatory Scrutiny: Potential SEC inquiry or shareholder suit.
Recordkeeping Failures: Evidence loss for audits.
Incorrect Dates: Voting outside of meeting window.
Revocation Risk: Signed proxy can be revoked per state law.

Common Preparation Pitfalls to Avoid

  • Relying on handwritten instructions without a clear delegation clause leads to disputes about whether the assembler had authority to change or aggregate proxy votes, increasing litigation risk.
  • Using inconsistent effective dates or failing to document revocation procedures can result in ballots being counted incorrectly or rejected by transfer agents.
  • Not verifying signer identity or failing to attach supporting custody documents undermines evidentiary strength during contested votes or regulatory reviews.
  • Assuming electronic methods are valid without consumer consent or required disclosures can invalidate signatures in consumer-facing contexts under ESIGN.

Step-by-Step: Preparing and Executing the Agreement

Follow these steps to prepare and execute a compliant Proxy Assembly Agreement for proxy collection and delivery.

  • 01
Define Scope: Specify authority, documents, and voting instructions clearly.
  • 02
Identify Parties: List all principals, agents, and contact details.
  • 03
Set Effective Period: Enter start and end dates in MM/DD/YYYY.
  • 04
Sign and Record: Obtain signatures, notarize if required, retain originals.

How Assembly and Submission Typically Flow

Typical workflow shows steps from instructing the assembler through collection, verification, and final delivery to the issuer or transfer agent.

  • Upload Documents: Attach proxy cards, solicitation notices, and power authorizations.
  • Place Fields: Mark signature, date, and instruction fields clearly.
  • Send for Signatures: Distribute via secure eSignature or paper, track responses.
  • Deliver Packets: Compile executed proxies and deliver to company or agent.

Essential Clauses and Provisions for Enforceability

A professional Proxy Assembly Agreement should clearly state authority limits, handling procedures, authentication methods, and recordkeeping responsibilities to ensure enforceability and regulatory compliance.

Authority

Define grant of power precisely, including whether the assembler has discretionary voting authority, limited instructions only, or authority to substitute alternate proxies; clarity reduces litigation risk and supports transfer agent acceptance.

Voting Instructions

Include explicit affirmative and negative voting positions, tie-breaking rules, and procedures for ambiguous items; outline whether proxies are cumulative, proxies to be aggregated, and handling of abstentions.

Substitution

State if the assembler can assign proxy rights to a delegate, the conditions for substitution, and notice requirements to principals or issuers to maintain chain of custody.

Authentication

Specify acceptable signer authentication methods, electronic consent steps per ESIGN, required ID verification for high-assurance transactions, and whether notarization or RON is required.

Notarization

Note when a notary acknowledgement or RON is required by state law or company bylaws; include retention requirements for recording audio-video sessions and notary journals.

Recordkeeping

Detail who retains originals and electronic copies, minimum retention periods, audit access, and procedures for producing records during audits or shareholder disputes.

Output Formats and Supporting Documents

Common document elements and output formats for Proxy Assembly Agreements to ensure compatibility with transfer agents, corporate registrars, and recordkeeping systems.

Output Formats

Provide signed documents as PDF/A and DOCX; include tamper-evident PDFs and certificates of completion compatible with transfer agent systems and internal archives.

Supporting Exhibits

Attach proxy cards, solicitation notices, board resolutions, and proof of authority such as power of attorney or board minutes where required.

Delivery Packet

Assemble an indexed packet with executed proxies, affidavit of service, and a transmittal letter for the transfer agent or company counsel.

Backup Copies

Store encrypted copies in cloud storage with access controls, retain physical originals in secure location, and document chain-of-custody for evidentiary integrity during disputes.

Practical Examples of Use

Real-world examples show how the Proxy Assembly Agreement resolves authority issues and streamlines proxy delivery in diverse settings.

Institutional Vote Consolidation

A mutual fund complex consolidated voting instructions across hundreds of client accounts under a single Proxy Assembly Agreement to ensure consistent voting.

  • Saved reconciliation time and reduced conflicting votes.
  • By documenting delegation, the fund established an audit trail accepted by custodians and the issuer, reducing procedural disputes and enabling swift delivery of consolidated proxies to transfer agents ahead of meeting deadlines.

Proxy Solicitation Firm

A solicitation firm used the agreement to clarify substitution rights and notarization requirements when collecting proxies remotely for multiple issuers.

  • Clarified agent authority across multiple state requirements.
  • The explicit clauses on authentication and record retention simplified compliance checks, allowed electronic collection with proper consent under ESIGN, and reduced client legal review time prior to submitting proxies to company counsel.

Practical Tips for Accurate and Efficient Completion

Following these practices improves the accuracy, enforceability, and auditability of Proxy Assembly Agreements in routine and complex transactions.

Clear delegation and scope limitations
Draft precise language about permitted acts, voting discretion, substitution, and exceptions. Avoid vague phrases such as 'as needed' or 'reasonable discretion.' Explicit limits reduce disputes and support transfer agent acceptance during contested or high-value shareholder votes.
Maintain version control and signature integrity
Use unique identifiers, timestamps, and an immutable audit trail. When using electronic signatures, capture consent under ESIGN, signer attribution, and keep a retrievable certificate of completion to show execution history.
Confirm state and issuer requirements
Verify whether the issuer's bylaws, state corporate law, or transfer agent require notarization, witness signatures, or specific formatting. Confirm RON acceptance where used and adapt the agreement to meet jurisdictional nuances.
Retain originals and complete audit artifacts
Keep signed originals or certified copies, preserve electronic audit trails including IP and timestamps, and record chain-of-custody notes to support defense against challenges and to satisfy regulatory record requests.
