P&S EXTENSION AGREEMENT

This P&S Extension Agreement (the Agreement) amends and supplements the Purchase and Sale Agreement dated (the Original Agreement) between Seller and Buyer concerning the real property described below. Except as expressly modified below, all terms and provisions of the Original Agreement remain in full force and effect and are hereby ratified and confirmed.

1. Extension of Closing Date: The parties agree to extend the Closing Date stated in the Original Agreement to (New Closing Date). Time is of the essence with respect to the New Closing Date.

2. Extension Period: The extension shall remain in effect for an additional days from the original Closing Date unless earlier terminated in accordance with this Agreement.

The extension fee shall be paid as follows: Paid to Escrow at execution of this Agreement

3. Application of Funds: All extension fees and additional deposits paid shall be applied in accordance with the Original Agreement or, if specified otherwise herein, credited to Buyer at Closing.

Escrow, Closing and Possession

Possession shall be delivered in accordance with the Original Agreement on the New Closing Date unless the parties agree otherwise in writing.

Default; Remedies

If Buyer fails to close on or before the New Closing Date (subject to any applicable notices and cure periods), Seller may elect to: (a) treat the Original Agreement as terminated and retain any earnest money as liquidated damages, or (b) pursue specific performance and other available remedies at law or equity. If Seller fails to close on or before the New Closing Date, Buyer may elect to: (i) terminate the Original Agreement and receive return of all deposits, or (ii) pursue specific performance and other remedies. The parties acknowledge that these remedies are cumulative and not exclusive.

Representations; Ratification

Each party represents and warrants that it has full authority to enter into this Agreement, that no other approvals or consents are required except as disclosed in writing, and that execution and performance of this Agreement will not breach any other contract. The parties hereby ratify and confirm the Original Agreement except as expressly modified by this Agreement.

Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses below. Notice is effective upon personal delivery, upon confirmed overnight courier delivery, or three (3) days after deposit in the mail when sent by first-class mail to the address provided below.

Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement, together with the Original Agreement, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating to the same. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
