What the PSA Comparison Document Is

The PSA Comparison Document is a structured reference that compares proposed Purchase and Sale Agreement terms across multiple drafts, sellers, or vendors. It organizes key provisions—price, contingencies, closing timeline, contingencies, title conditions, and signature requirements—into a single view to speed legal review and negotiation. The document is commonly used by counsel, brokers, procurement teams, and transaction managers to highlight differences, document concessions, and produce a clean reconciliation for final drafting and execution.

Why a PSA Comparison Document Matters

A clear comparison reduces negotiation time, uncovers hidden trade-offs, and preserves an auditable record of changes and approvals under ESIGN and UETA frameworks.

Why a PSA Comparison Document Matters

Who Typically Prepares and Uses This Comparison

The document streamlines approval routing and informs signatory authority decisions before final execution.

  • In-house counsel and outside attorneys reviewing differing contract drafts across counterparties and jurisdictions.
  • Real estate brokers and transaction managers tracking seller concessions and buyer contingencies across offers.
  • Procurement and sourcing teams comparing commercial terms from multiple vendors for selection and approval.

Core Sections Every Professional PSA Comparison Should Include

A compact, consistent layout helps reviewers compare like-for-like items quickly and produces a defensible audit trail for approvals and signature routing.

Executive Summary

One-page synopsis listing the competing offers, net prices, and major deviations so decision-makers can see trade-offs without reading full agreements.

Price and Consideration

Detailed breakdown of base price, adjustments, escrow, holdbacks, and payment milestones to allow numeric reconciliation and cash-flow impact assessment.

Key Obligations

Comparison of primary buyer and seller obligations including delivery, inspection rights, warranties, indemnities, and insurance requirements for operational clarity.

Conditions and Contingencies

List of closing conditions, financing contingencies, permitting requirements, and cure periods so parties can align on risk allocation.

Closing and Timeline

Milestone table for deposits, title review, closing date, recording steps, and post-closing obligations to coordinate resources and deadlines.

Signatures & Authentication

Explicit column summarizing who signs, whether notarization or witnesses are required, and whether electronic signing is permitted under ESIGN/UETA.

Step-by-Step: Preparing and Using the Comparison

Follow a repeatable sequence to ensure accuracy and a defensible record for approvals and e-signature.

  • 01
Collect Drafts: Gather all competing PSAs in PDF or DOCX for side-by-side comparison.
  • 02
Identify Key Clauses: Map terms to a standard column layout to align comparisons.
  • 03
Annotate Differences: Flag deviations, quantify financial impacts, and note legal risks.
  • 04
Route for Review: Send to stakeholders for redlines, approvals, and signature authorization.

How to Configure an Online Review Workflow

Standardize the online workflow settings so every comparison follows the same approval path and authentication standards.

Field Configuration
Recipient Order Sequential or parallel routing based on approval matrix
Authentication Email link by default; add SMS or KBA for higher assurance
Audit Trail Enable complete event logging with timestamps and IPs
Retention Policy Set automatic archival after signing based on document class

Where to Send or File the Completed Comparison

Define a single destination for the final comparison and supporting documents to maintain a consistent record and chain of custody.

  • Internal Repository: Upload final PDF to your contract management or document library.
  • Legal Folder: Place the executed comparison with redlines and approval emails.
  • Title/Closing Agent: Send relevant signed pages to title or escrow for closing.
  • Finance and Accounting: Provide copies for payment scheduling and ledger entry.

Distribution and Digital Signing Considerations

Confirm that your chosen eSignature provider supports audit trails and retention settings consistent with internal policy and applicable law.

Supporting Documents and File Formats to Include

Attach related records and deliverables so reviewers can validate terms and support closing steps without searching multiple systems.

Title Documents

Provide title commitment, surveys, and exception lists as appendices so reviewers can reconcile indemnity and cure obligations against proposed contract language.

Financial Schedules

Attach payment breakdowns, escrow instructions, and closing statements to verify consideration math and reduce post-closing reconciliation effort.

Regulatory Filings

Include permits, licenses, or regulatory approvals needed for closing so the comparison notes dependencies and conditionality for each draft offer.
