RECITALS

WHEREAS, the Parties entered into a Purchase and Sale Agreement dated (the "PSA") concerning the sale and purchase of the property described therein; and

WHEREAS, duplicate original counterparts of the PSA were executed by the Parties, and multiple physically identical originals exist; and

WHEREAS, the Parties desire to confirm the status, effect and priority of such duplicate originals and to authorize certain actions with respect to delivery, recordation and substitution of duplicates.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Duplicate Original" means any original document that is executed in counterpart or multiple original copies of the PSA so that more than one physically executed "original" exists.

1.2 Terms defined in the PSA shall have the same meanings when used in this Agreement unless otherwise defined herein.

2. ACKNOWLEDGMENT OF DUPLICATE ORIGINALS

2.1 The Parties acknowledge and agree that each Duplicate Original signed by the Parties constitutes an original instrument for all purposes, is fully enforceable, and shall have the same force and effect as any other original signed counterpart of the PSA.

2.2 If any third party, governmental authority, or recording office requires production of an "original" PSA, any Duplicate Original executed by the Parties shall satisfy such requirement, provided that the copy presented is accompanied by a certification of authenticity executed by the Party providing the document or their authorized representative.

3. PRIORITY AND CONSTRUCTION

3.1 In the event of any inconsistency or ambiguity between the PSA and any Duplicate Original or between multiple Duplicate Originals, the Parties agree that the document signed by all Parties and bearing the earliest signatures in time shall control in determining the Parties' intent, provided that such construction does not contravene any applicable law or recorded instrument.

3.2 Nothing in this Agreement shall be construed to amend the substantive rights or obligations set forth in the PSA except to the extent expressly set forth in this Agreement.

4. DELIVERY, RECORDATION AND SUBSTITUTION

4.1 Any Party is authorized to deliver a Duplicate Original to any title company, escrow agent, mortgagee, or recording office for the purposes of closing, recordation or securing financing, and such delivery shall be deemed effective to transfer or record the rights or interests intended thereby.

4.2 If a Duplicate Original is lost, destroyed or shown to be defective, the Parties shall execute and deliver a replacement original or certified copy upon written request of the other Party or any third party having a good faith interest, provided that the requesting Party furnishes an affidavit describing the circumstances and, if requested, indemnity against claims arising from substitution.

5. REPRESENTATIONS AND WARRANTIES

5.1 Each Party represents and warrants to the other that: (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and delivery of this Agreement has been duly authorized by all necessary corporate, limited liability company or other organizational action; and (c) this Agreement constitutes a legal, valid and binding obligation enforceable against such Party in accordance with its terms.

5.2 Each Party further represents and warrants that, to such Party's knowledge, no Duplicate Original has been materially altered after execution and no facts exist that would render the duplicates invalid or voidable as between the Parties.

6. INDEMNIFICATION

6.1 Each Party shall indemnify, defend and hold harmless the other Party from and against any losses, damages, claims, costs or expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the representations and warranties in Section 5 or from any claim that a Duplicate Original was not properly executed or is otherwise invalid.

What a PSA Duplicate Agreement Is and Why Parties Use It

A PSA Duplicate Agreement is a counterpart copy of a Purchase and Sale Agreement used in real estate transactions to ensure each party holds an identical, fully executed document. Parties sign one or more duplicates so originals remain available for recording, lender review, or escrow. Duplicate agreements are treated as legally equivalent to a single integrated contract when executed by all parties and typically include identical terms, signatures, and execution dates. These duplicates may be notarized or electronically signed and retained by each party, escrow, and closing agents to support title transfer and post-closing obligations.

Practical Benefits of Maintaining Proper PSA Duplicates

Using a PSA Duplicate Agreement preserves identical executed records for all parties, simplifies closing and title review, and reduces dispute risk by ensuring consistent terms across copies. It supports recordkeeping, lender requirements, and compliance with recording or escrow practices.

Practical Benefits of Maintaining Proper PSA Duplicates

Typical Users and Roles for PSA Duplicate Agreements

Common users include parties in residential and commercial real estate transactions, escrow agents, title companies, and lenders.

  • Buyers and sellers in property transfers managing execution copies and record retention.
  • Title companies that need consistent signed counterparts for underwriting and closing files.
  • Lenders and escrow officers requiring duplicates for loan documentation and escrow disbursement.

Each stakeholder keeps a duplicate to support closing, loan funding, and post-closing compliance, simplifying verification and dispute resolution.

Stepwise Process to Prepare and Execute PSA Duplicates

Follow these steps to prepare, execute, and distribute PSA duplicate copies so parties and escrow hold identical, enforceable records.

  • 01
Prepare: Assemble original PSA, exhibits, and legal description; create numbered duplicates for each party.
  • 02
Execute: Each party signs and dates each duplicate in presence of required witnesses or notary.
  • 03
Authenticate: Notarize or apply electronic signature with recorded audit trail and authentication.
  • 04
Distribute: Deliver executed duplicates to escrow, title, and each signing party; retain copies.

Configuring an Online Workflow for PSA Duplicates

Configure an online workflow to fill, route, authenticate, and store PSA duplicates for efficient e-execution and record retention.

Field Configuration
Signer Order Define signing sequence and role authentication
Authentication Email link, SMS code, or KBA options
Conditional Fields Show or hide fields based on prior answers
Storage Save final PDF with audit trail to cloud storage

How Electronic Execution and Distribution Typically Flow

Typical route for e-executing PSA duplicates includes upload, field placement, signer authentication, signing, and distribution with audit trail.

  • Upload: Upload the PSA duplicate file to the signing platform.
  • Fields: Place signature, initial, date, and notary fields where required.
  • Authenticate: Choose authentication method and verify signer identity before signing.
  • Complete: Finalize signatures, generate certificate of completion, and distribute copies.

Platform Requirements for Secure e-Execution and Notarization

Ensure platform supports required file formats, RON or notary workflows, audit trails, and conditional field logic.

  • Formats: PDF/A, DOCX, and editable fields
  • Integrations: Connect to title and escrow systems
  • Authentication: SMS, email, or KBA available

Essential Clauses and Elements in a Professional PSA Duplicate

A professional PSA Duplicate Agreement includes clear identification, matching terms, execution blocks, notary language, counterpart clause, and retention instructions to avoid post-closing disputes.

Counterparts

A counterparts clause states that multiple identical duplicates constitute one agreement. Each duplicate signed by parties is an original and together form a single binding contract for enforcement and recording purposes.

Execution Block

Signature blocks should include printed name, title, capacity, and date. For corporations include corporate seal line, officer title, and authority statement for clarity in later title review.

Notary/Witness

Where state law or recording requires, include a notary acknowledgement or witness signature lines. Remote online notarization is acceptable where permitted and records must be retained per state law.

Property Description

Attach the full legal description or exhibit as part of each duplicate. Short addresses are insufficient for recording; include parcel or lot identifiers as used in the title report.

Counterpart Clause

Specify that electronically signed or physically signed counterparts are equally binding. Clarify whether signatures transmitted by email, PDF, or signing platform create enforceable counterparts under ESIGN and UETA.

Retention Instructions

State who retains the original executed duplicate, how long copies are kept, and whether digital certified copies with audit trails satisfy recording or lender requirements.

Security and Compliance Considerations for Electronic PSA Duplicates

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Certifications: SOC 2 Type II, ISO 27001, PCI DSS
HIPAA: BAA available; HIPAA-compliant workflows
Audit Trail: Detailed timestamps, IP addresses, action history
ESIGN/UETA: Compliant with ESIGN and UETA standards
21 CFR: Supports 21 CFR Part 11 compliance features

Potential Penalties and Risks from Incorrect PSA Duplicates

Recording Rejection: Mismatched signatures can void acceptance
Lender Refusal: Missing notary delays loan funding
Title Defect Risk: Inconsistent descriptions cause title exceptions
Statute Issues: Certain documents cannot be e-signed
Tax Penalties: Incorrect filings can trigger IRS penalties
Authentication Failure: Weak ID may invalidate electronic execution

Common Preparation Errors to Avoid

  • Creating duplicates with differing execution dates, initials, or missing exhibits can produce conflicting terms that complicate escrow and title review and may require corrective affidavits.
  • Failing to notarize or follow state-specific witness rules for copies intended for recording can lead to rejection by county recorder or lender delays.
  • Relying on simple image overlays without audit trails or authentication can weaken enforceability in disputes or when proving intent to sign.
  • Not retaining secure, tamper-evident copies and audit logs can hinder post-closing audits or defense against claims of forgery or unauthorized changes.

Timelines and Typical Processing Expectations

Expect variations: signing is immediate, but recording, lender review, and escrow disbursement follow local processing and scheduling.

Signing Completion:

Effective upon final signature by all parties

Notarization Window:

Complete before recording if required by state

Recording Time:

Recording time varies by county; typically days to weeks

Lender Review:

Underwriting and document review may take 3–10 business days
