PUBLIC SPEAKING AGREEMENT

This Public Speaking Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Speaker is a professional public speaker and presenter with demonstrated expertise in the subject matter described below and agrees to provide professional presentation services to Client under the terms set forth in this Agreement;

WHEREAS, Client desires to engage Speaker to perform the presentation and related services for the event described below on the terms and conditions contained in this Agreement; and

WHEREAS, the parties wish to set forth their entire agreement in writing.

SCOPE OF WORK

Speaker will deliver a professional presentation and related services as described below. Speaker's obligations include preparation, on-site presentation, question-and-answer session as agreed, and reasonable coordination with Client prior to the event.

PAYMENT TERMS

Any amounts not paid when due shall accrue interest at or the maximum permitted by law, and Client shall be responsible for reasonable collection costs and expenses.

Client shall reimburse Speaker for pre-approved travel, lodging, and reasonable out-of-pocket expenses upon submission of receipts. Estimated travel budget:

CANCELLATION; RESCHEDULING

If Client cancels the engagement more than prior to the Presentation Date, the deposit will be retained by Speaker as liquidated damages. If Client cancels within the specified notice period, Client shall pay the full fee unless Speaker successfully rebooks the date, in which case Client shall pay a reasonable mitigation amount.

If Speaker is unable to perform due to illness, travel disruption, or other unforeseen circumstances, Speaker will use reasonable efforts to provide a qualified substitute speaker acceptable to Client or reschedule the presentation. If rescheduling is not possible, Speaker will refund any amounts prepaid for the canceled presentation.

TERM AND TERMINATION

This Agreement commences on and terminates on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within after receiving written notice. Termination shall not relieve Client of payment obligations for services performed prior to termination.

CONFIDENTIALITY

The parties acknowledge that in performing under this Agreement they may obtain access to confidential or proprietary information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties except as required by law or as necessary to perform obligations under this Agreement. Confidential information shall not include information that is (a) publicly known other than through breach of this Agreement, (b) rightfully received from a third party without restriction, or (c) independently developed without use of the other party's confidential information.

The confidentiality obligations shall continue for after termination or expiration of this Agreement.

INTELLECTUAL PROPERTY; RECORDING

Speaker retains all intellectual property rights in pre-existing materials and in original materials provided or delivered by Speaker in connection with the presentation, except for any materials expressly assigned in writing. Client shall not record, broadcast, reproduce, or distribute the Speaker's presentation without the Speaker's prior written consent. Recording permitted: Yes

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, agents and employees from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct in connection with the performance of this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in that State, and the parties hereby submit to the personal jurisdiction of such courts.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether oral or written. Any modification to this Agreement must be in writing and signed by both parties.
