PUBLIC WORKS AGREEMENT

This Public Works Agreement (Agreement) is made as of by and between Owner Name: (Owner), and Contractor Name: (Contractor). The Owner and Contractor are collectively referred to herein as the Parties.

RECITALS

WHEREAS, Owner seeks to procure certain public works improvements identified as (Project) in accordance with applicable statutes, regulations and municipal requirements; and

WHEREAS, Contractor represents that it is duly qualified, licensed and experienced to perform the work required for the Project and has submitted a proposal and documentation acceptable to Owner; and

WHEREAS, Owner desires to engage Contractor and Contractor desires to perform the Project under the terms and conditions set forth in this Agreement.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. SCOPE OF WORK

1.1 Contractor shall furnish all labor, materials, equipment, tools, transportation and services necessary to complete the Project as described in the Contract Documents. Contractor shall perform the work in a professional and workmanlike manner in accordance with industry standards and applicable law.

2. CONTRACT DOCUMENTS

2.1 The Contract Documents consist of this Agreement, the technical specifications, drawings, addenda, Contractor's proposal as accepted by Owner, bonds and insurance certificates, and executed change orders. These documents form the contract and are intended to be complementary; what is required by any one shall be as binding as if required by all.

3. TIME FOR COMPLETION

3.1 Contractor shall commence work by and shall achieve Substantial Completion by , subject to adjustments for approved change orders and excusable delays.

3.2 Time is of the essence. Contractor shall provide and maintain sufficient labor, equipment and supervision to meet the schedule and shall notify Owner promptly of any circumstances likely to cause delay.

4. CONTRACT PRICE AND PAYMENT

4.1 Owner shall pay Contractor the contract price in accordance with the payment schedule set forth in the Contract Documents, subject to lawful withholding for defective work or noncompliance. Progress payments shall be made upon submission of an invoice and application for payment conforming to the required form.

5. CHANGES AND CHANGE ORDERS

5.1 Any change in the scope, price or time shall be implemented only by a written change order signed by the Owner and Contractor. Change orders shall describe the change, the cost or credit, the effect on the schedule, and any other adjustments to Contract Documents.

6. INSPECTION, TESTING AND ACCEPTANCE

6.1 Owner shall have the right to inspect the work at all times. Contractor shall provide access and testing as required. Final acceptance shall not be deemed to occur until the work is complete in accordance with the Contract Documents and any required governmental approvals have been obtained.

7. WARRANTIES

7.1 Contractor warrants that all materials and workmanship furnished under this Agreement shall be free from defects for a period of from final acceptance. Contractor shall promptly repair or replace defective items at Contractor's expense.

8. INDEMNIFICATION

8.1 Contractor shall indemnify, defend and hold harmless Owner, its officers, agents and employees from and against claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Contractor's performance of the Work, except to the extent caused by Owner's sole negligence or willful misconduct.

9. INSURANCE AND BONDS

9.1 Contractor shall procure and maintain insurance coverages and limits satisfactory to Owner, including commercial general liability, workers' compensation, automobile liability, and any professional liability where applicable. Contractor shall provide certificates of insurance evidencing coverage prior to commencement of work.

10. SAFETY AND COMPLIANCE

10.1 Contractor shall comply with all applicable federal, state, and local laws, ordinances, codes and regulations, including safety and environmental requirements. Contractor shall be responsible for the safety of the work site and shall implement appropriate safety programs.

11. SUBCONTRACTING

11.1 Contractor may subcontract portions of the Work with Owner's prior written consent. Contractor shall be responsible for the acts and omissions of subcontractors and shall ensure subcontractor compliance with the Contract Documents.

12. RECORDS, AUDITS AND RETENTION

12.1 Contractor shall maintain records relevant to the performance of the Work, including payroll, invoices and time records, for a period of not less than . Owner or its authorized representatives shall have the right to audit such records upon reasonable notice.

13. TERMINATION

13.1 Owner may terminate this Agreement for convenience upon written notice to Contractor. In the event of termination for convenience, Contractor shall be entitled to payment for work properly performed and documented costs reasonably incurred prior to termination, less any amounts reasonably deductible for Owner. Owner may also terminate for cause upon Contractor's material breach if Contractor fails to cure within a reasonable period after notice.

14. DISPUTE RESOLUTION

14.1 The Parties shall seek in good faith to resolve disputes arising under this Agreement. Unless otherwise agreed, disputes not resolved by negotiation shall be subject to binding arbitration administered by a neutral arbitration forum in the jurisdiction specified in Section 16, with the arbitrator applying the substantive law of that jurisdiction. Each Party shall bear its own costs and attorneys' fees unless the arbitrator directs otherwise.

15. NOTICES

15.1 All notices, demands or communications required or permitted under this Agreement shall be in writing and shall be deemed received when delivered personally, delivered by courier, or three (3) business days after deposit in the United States mail, postage prepaid, addressed to the party at the address set forth below or to such other address as that party designates in writing.

16. GOVERNING LAW

16.1 This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

17. AMENDMENTS, WAIVER AND SEVERABILITY

17.1 No amendment to this Agreement shall be effective unless in writing signed by authorized representatives of both Parties. Failure of either Party to enforce any provision shall not constitute a waiver of that provision. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. ENTIRE AGREEMENT

18.1 This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral.

19. COUNTERPARTS

19.1 This Agreement may be executed in multiple counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
