PUBLICITY RELEASE AGREEMENT

This Publicity Release Agreement (the Agreement) is made effective as of by and between the parties identified below.

Parties

WHEREAS

WHEREAS, Releasor has agreed to participate in promotional activities, interviews, photography, audio recordings, video recordings, and/or other publicity materials in connection with (the Project);

WHEREAS, Releasee desires to obtain the rights to use Releasor's name, image, likeness, voice, performance, biography and other personal attributes as set forth below for the purpose of promoting the Project and related goods and services; and

WHEREAS, the parties desire to set forth the terms and conditions under which such rights shall be granted and compensation, if any, shall be provided.

Scope of Work

Grant of Rights

Releasor hereby irrevocably grants to Releasee and its licensees, successors and assigns a perpetual, worldwide, royalty-free, transferable right and license to use, reproduce, distribute, display, publish, perform, modify, adapt and create derivative works of Releasor's name, image, likeness, voice, performance, photograph, video, biographical information and other personal attributes (Collectively, the Likeness) in any and all media now known or hereafter devised, for advertising, marketing, publicity, promotional, archival and commercial purposes in connection with the Project and Releasee's business activities.

The rights granted include, without limitation, the right to crop, edit, alter, add text, combine with other materials, and use the Likeness alone or with other content. Releasee is not obligated to use any Likeness and shall exercise the rights granted in a manner consistent with industry standards.

Payment Terms

As full and complete consideration for the rights granted herein, Releasee shall pay Releasor the amount of in accordance with the following schedule:

If any payment due hereunder is not paid within days of its due date, Releasee shall be obligated to pay a late fee of on the unpaid balance. All payments are exclusive of any taxes, duties or withholdings which shall be the responsibility of the party required to pay them by applicable law.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party upon written notice and a day cure period. Termination shall not affect Releasee's right to continue using Likeness already published or distributed prior to termination, except as expressly agreed in writing.

Confidentiality

For the purposes of this Agreement, Confidential Information means non-public information disclosed by either party in connection with the Project that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was rightfully known to the receiving party prior to disclosure; (c) is independently developed without use of or reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt notice and cooperates to limit the disclosure.

Each party shall use at least reasonable care to protect the confidentiality of the other party's Confidential Information and shall not disclose such information to third parties except to employees, agents and contractors who need access to perform obligations hereunder and who are bound by confidentiality obligations no less protective than those set forth herein. The obligations in this section shall survive termination for a period of three (3) years.

Representations, Warranties and Indemnification

Releasor represents and warrants that Releasor is over the age of majority in Releasor's place of residence, has full right and authority to grant the rights granted herein, and that the exercise of such rights will not violate the rights of any third party. Releasor shall indemnify, defend and hold harmless Releasee and its affiliates, licensees and assigns from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of any breach of the foregoing representations and warranties.

Releasee represents and warrants that it will use the Likeness in a manner not intended to harass, defame, or invade the privacy of Releasor beyond the scope of the rights granted, and that it will comply with all applicable laws in exercising its rights hereunder.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising out of or relating to this Agreement.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except that Releasee may assign to a successor in interest in connection with a merger, acquisition or sale of substantially all of its assets.

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as the receiving party designates in writing.
