SCOPE OF USE

Releasor grants Producer/Company the irrevocable, perpetual, royalty-free, worldwide right and license to record, reproduce, publish, distribute, display, perform, edit, translate, adapt, and otherwise use Releasor's name, voice, likeness, image, biographical material and contributions in the Materials in any media now known or hereafter developed, including but not limited to print, digital, broadcast and social media, for any purpose related to the business or mission of Producer/Company.

As full consideration for the rights granted herein, Releasor will receive:

RELEASE, WAIVER AND LIMITATION OF CLAIMS

Releasor hereby irrevocably releases, waives and discharges Producer/Company and its affiliates, licensees, successors and assigns from any and all claims, causes of action, demands, liabilities and damages arising out of or related to the exercise of the rights granted herein, including but not limited to claims for invasion of privacy, defamation, false light, right of publicity, or any other torts or statutory claims, whether known or unknown, in law or in equity.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Releasor represents and warrants that Releasor is the person identified above, has full authority to grant the rights granted in this Release, and that no third party rights will be infringed by such grant. Releasor will indemnify, defend and hold harmless Producer/Company from and against any losses, damages, costs or expenses (including reasonable attorneys' fees) arising from any breach of the foregoing representations and warranties.

CONFIDENTIALITY

Except as required for the exercise of rights granted herein or as otherwise agreed in writing by the parties, Producer/Company shall not be obligated to treat any Materials as confidential. Any agreement to maintain confidentiality must be set forth in a separate, written confidentiality agreement executed by both parties.

GOVERNING LAW; ENTIRE AGREEMENT

This Release shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. This Release, together with any written attachments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings and negotiations, whether written or oral.
