WHEREAS, Client has created, owns or controls certain original materials identified below and desires that Publisher consider and proceed with publication, distribution, or other dissemination of those materials under the terms set forth herein.

Scope of Work

Publisher will perform editing, design, production, distribution and related publishing services as described below. Client authorizes Publisher to proceed only in accordance with the approvals expressly provided in this form.

Publisher will submit materials to Client for approval according to the review schedule set forth below. No material shall be released for public distribution without the Client's express written approval recorded on this form or in a written amendment.

Confidential Information shall be protected with at least the same degree of care the receiving party uses to protect its own confidential information, but no less than reasonable care.

Representations, Warranties and Indemnity

Client represents and warrants that it is the sole owner or lawful licensee of the materials and has the authority to grant the rights contained in this Agreement. Client agrees to indemnify and hold Publisher harmless from any third-party claims arising from alleged infringement, libel, slander, or other claims related to the materials, except to the extent caused by Publisher's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any attachments and written approvals executed by the parties, constitutes the entire agreement between Client and Publisher with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification or amendment must be in writing and signed by authorized representatives of both parties.
